THE " Tar-Sands." is the name which has been given to the extensive horizontal deposit of fine Cretaceous sand, blackened by tarry petroleum, which forms the banks of the last or lowest 130 miles of the Athabasca river before it terminates in Athabasca lake. The Cretaceous strata, to which these sands belong, extend northwesterly from Dakota all the way to this lake and for 500 miles beyond it. The Athabasca river forms the uppermost section of the Athabasca-Mackenzie, one of the great rivers of the world. It rises on the Pacific side of the Rocky mountains, westward of Edmonton, and flows north of east to a point called Athabasca. Landing, 100 miles north of Edmonton, where it turns northward and runs about 280 miles before it falls into the west end of Athabasca lake. The section of this river-system which discharges the lake just named into Great Slave lake, is called Slave river, and below the latter lake it becomes the Mackenzie river. Along the section of 280 miles of the Athabasca river above mentioned, the Cretaceous strata consist of bluish-gray and drab-gray marls, on top, from Athabasca Landing to Drowned rapid, 110 miles down stream; then heavily bedded gray sandstones, 225 ft. in greatest thickness, underlying these, form the banks for about 40 miles further. The strata appear to be horizontal, but they really clip very slightly to the southward. At Drowned rapid, we see the first of the tar-sands resting on almost horizontal beds of bluish-gray limestone of Devonian age. In some places the limestone is associated with shaly or marly bands. THE Taranaki oil-field is situated on the western side of the North Island of New Zealand, at about its widest part, and may be said to be the most compact and fertile part of the Dominion, for, with the exception of the upper half of Mount Egmont and of the ranges adjoining, which absorb 36,000 acres, the whole of the area, minus what is taken up by the rivers and streams is suitable for settlement, and certainly two-thirds is good land. Gold Fields Ghana Ltd (GF Ghana) currently operates an underground mine at Tarkwa, in south--west Ghana. The mine was operated by Tarkwa Goldfields Limited, a wholly owned subsidiary of the State Gold Mining Corporation of Ghana (SGMC). The mine was making operating losses and in a poor state of repair. Tarkwa Goldfields retrenched all the staff and GF Ghana assumed management responsibility for its own account on I July 1993.

THIS paper presents in an abbreviated form the chief points of interest in an investigation of the tarnish-resistant qualities of silver alloys, an investigation which has been carried out as a joint research by the Bureau of Mines and the Bureau of Standards and will later be reported in detail in an official publication from these bureaus. In 1923 a Commission of Gold and Silver Inquiry was created by a Resolution of the U. S. Senate to study the causes of the depressed condi¬tion of the gold and silver industry. In cooperation with this commission the Bureau of Mines made a preliminary survey to determine in what ways, if any, it might be possible to increase the uses of silver. One of the possibilities indicated by this survey was the development of silver alloys which should be non-tarnishing, or at least less-tarnishing, than the usual sterling silver (copper-silver). The preparation of a rather wide variety of silver alloys and the determination of their behavior under accelerated tarnish tests in the laboratory was therefore undertaken by the bureaus, of Mines and Standards as a joint investigation. PREVIOUS WORK ON TARNISH RESISTING SILVERS At about the time this work was undertaken interest in tarnish-resisting silvers was rather keen due to announcements from England that there had been developed a new silver alloy, "Silanca," which was resistant to tarnish. It was even frequently described in the popular press as "non-tarnishing." A few samples and several analyses of "Silanca" which were available indicated that it was an alloy of sterling fineness, that is, it contained about 93 per cent. of silver, with approximately 4.5 per cent. of antimony and either cadmium or zinc, or both, to make the remaining 2.5 per cent.

Discussion of the Paper of Dr. H. M. Chance, presented at the Lake Superior Meeting, September, 1904. EDWARD HALSE, Puerto Berrio, Colombia, So. Amer. (communication to the Secretary*) : The Taviche mining-district is generally known as a Taviches," being named from the two villages called respectively San Pedro Taviche and San Jeronimo Taviche. It is so called by José G. Aguilera, in his paper on the Geographical and Geological Distribution of the Mineral Deposits of Mexico;' and in published reports by the late N. W. Rudston Read ;2 and by Juan de Dios Villarello.3 The region is a large one, measuring about 24 miles long and 7 miles wide. Dr. Chance, in his interesting paper, tells us very little about the nature of the ores, and, with regard to the geology of the district, contents himself with observing that ? the country, as a rule, consists of eruptive rocks; and no evidences of sedimentary strata appear near the mines.? The latter part of the above statement is hardly correct. The formation is mainly eruptive, being hornblende-audesite of Tertiary age, which is limited on the east by the calcareous (Cretaceous) formation, and on the west by the Huronian rocks of Ocotlan. Limestone is seen close to the Santa Càtarina mine, at the northern end of the region. In the surface-working known as La Cueva, a little northeast of San Pedro, limestone forms the eastern wall of the deposit which consists of spots (moscas) of pyrargyrite in white opaque or transparent quartz. INTRODUCTION The tax structure of foreign mining investment into the United States has a significant impact on the financing and the profitability of the operation. For these reasons, it is critical for the foreign investor to develop and implement a well planned tax strategy that will enable its venture to: (1) reduce its U.S. income tax liability (2) lower U.S. withholding taxes when funds are transferred from the United States, and (3) decrease or defer home country taxation on its U.S. earnings ALTERNATIVE FORMS OF INVESTMENT A threshold business and tax consideration is the form in which the investment is to be made. The most common alternatives include: forming or acquiring a U.S. mining corporation, directly establishing a branch mining operation, or entering into a joint venture or partnership with a U.S. mining company. U.S. Corporations The most common structure through which foreign mining companies engage in business in the United States is to form a U.S. mining corporation. Forming a U.S. Corporation. If the investor decides to establish a new U.S. corporation the organization is relatively simple. No distinctions are made in the United States between "public" and "private" forms of incorporation. Minimum share capital is not usually required and share capital may consist of shares with no par value. Since corporate law is the responsibility of the individual states, the foreign investor must choose a state in which to incorporate. If appreciated mining property is transferred to a corporation solely in exchange for stock or securities in that corporation, and the transferors have control of the corporation (defined as at least 80 percent of all voting shares and at least 80 percent of all other shares) immediately after the exchange, no gain or loss will be recognized. However, if the transferors receive cash or other mining properties in addition to stock, any resulting gain may, in certain situations, be taxed to the extent of the cash and the fair market value of other property received. Acquiring an Existing U.S. Corporation. Acquiring an existing U.S. mining corporation is not as straight-forward as forming a corporation. This alternative may be accomplished through either a stock or an asset acquisition. Generally, with a stock acquisition the purchaser inherits all of the business and tax attributes of the former mining corporation. If the investor is able to acquire mining assets, however, the purchaser will usually be able to avoid any unknown or hidden liabilities that could be attached to an existing corporation. Another principal advantage in acquiring assets is that the purchase price may be directly allocated to the acquired mines or other mineral-related assets with the result that the assets' depreciable base may be increased. Assuming the domestic seller and the foreign purchaser can agree, it is generally advisable to allocate the purchase price in the sales agreement to specific individual assets. From the foreign investor's standpoint, it is preferable to allocate the purchase price to depreciable assets such as buildings and equipment versus an allocation to mineral land holdings or intangibles such as goodwill, which are generally not depreciable. It is not uncommon, however, for a seller mining company being acquired to insist for tax reasons that the investor purchase shares rather than assets. If the foreign

"Iron ore in Minnesota probably carries a heavier tax burden than any mineral in any other place in the world. The State Tax Commission, created in 1907, originated the system, and with the assistance of the School of Mines is constantly making such adjustments, changes and increases as appear necessary, in order to place mineral reserves on the assessment rolls at their true and full present taxable value. The ore bodies on the Mesabi are so well defined by drilling and underground devel¬opment that it is possible to estimate very exactly the volume on every forty acres of land taken as a unit. This is done by the operating or holding company and reported annually to the Tax Commission, Who check the estimates, having all data, and- proceed to fix the valuation for taxation purposes.The first step is to ascertain a general average selling price in open market, over a period of years ; then the total cost per ton (exclusive of royalty) to produce and market the ore. The difference between the average selling price and producing cost per ton is taken as the future full value per ton. This is then discounted at a rate of interest that represents the present and possible future worth of money, over a period of years that will be required to exhaust the ore body, giving the present full value per ton., Iron ore is taxed at 50 per cent of its full value, while other property is taxed at 33 1/3 per cent and 25 per cent."

The expansion of the mining industry, with other industries, of course, is dependent upon a supply of fresh capital from year to year. Mining is a speculative form of investment, though there is a wide range of risk as between indiudual undertakings. All of the leading financial writers, nowadays, agree that expansion is being seriously interfered with by the unprecedented load of taxation Canadians are carrying. Individuals have less for investment and corporations are obliged to defer necessary expenditures in order that the demands of the taxing authorities may be met. Naturally, speculative investments such as mining exploration suffer first. Undoubtedly, a great deal of cash raised by taxes, if left in the hands of individuals and corporations for investment and expansion, would have been far more beneficially used and would have developed the country more than any use made of it by the government, in the way of bonusing new industries, or the undertaking of large schemes of development. Government undertakings of this nature are often entered into without a proper knowledge of cost and probable return. Expert expenditure of the same sums by business men or corporations undoubtedly would generally produce more prosperity for the country as a whole. The absolute necessity for lower taxation is being increasingly known to the public at large, and eventually it is hoped that our governments will see the economic impossibility of continuing the present rate of expenditure. The successful Finance Minister of the near future will not be the one who can borrow the most money.

DURING the time I was in charge, of this mine, from 1914 to 1915, I had occasion to read the interesting papers by T. T. Read and C. M. Weld about these deposits, to find how far their observations corroborated mine. To quote from the paper on "The Mineral Production and Resources of China" by T. T. Read:' "The iron ores at Tayeh lie along the contact between a marble and an intrusive body of a dark gray syenitic rock. * * * * At one place it is slightly magnetic, apparently having been partly reduced to the magnetic oxide by the action of reducing solutions, which have deposited small amounts of copper and iron sulphides along the foot wall." To quote from the paper on "The Tayeh Iron Ore Deposits"2 by C. M. Weld: "I find the orebodies described as occurring along an approximately E-W contact between horn-blende-granite and limestone. * * * * The granite is a granitoid rock consisting essentially of quartz, potash-feldspar and hornblende." These quotations show the differences of opinion entertained by two observers. My own study of these interesting deposits has been intermittent amid the manifold duties devolving upon a superintendent. General Description of the Deposits The deposits are situated to the west of the Yangtse River, being con¬nected with the river by a standard-gage railroad of 56 li (16.16 miles, 26 km.) in length, as shown in Fig. 1. The general topography of the region is of mature age, showing broad valleys with sluggishly meandering streams. These deposits are worked as two mines, named the Tieh Shan Mining Department and the Teh Tao Wan Mining Department; the former consisting of three orebodies more or less connected, named Tieh Man Kan, Sha Mau Tze and Lung Tung, and the latter consisting of Chang Pei Shan, Sze Tze Shan, Ta Shih Men, Yeh Chih Ping and Tsin Shan, also more or less connected, as shown in Fig. 2.

(communication to the Secretary*). -It is much to he regretted that in presenting a further discussion of these deposits, first described by myself' and later discussed by C. M. Weld,2 Mr. Wang bas not made a more complete presentation of the evidence on which he bases his conclusions as to their origin. Mr. Weld said in his paper that his visit was confined to a few hours, that he saw only one of the several exposures, and that he took away no samples for further study. My own visit was brief, and for another purpose than the study of the geological features of 'the deposits, so the fact that Mr. Weld described as a hornblende-granite the rock which I described as a "dark gray syenitic rock," and which Mr. Wang identifies as a hornblende-syenite, seems of no great importance, since this rock is generally decomposed along the contact, presumably the only place in which Mr. Weld observed it. Later in the same paper (p. 31), Mr. Weld says that his opinion is that the magnetite of the deposits is primary, but Mr. Wang makes no mention of this in stating his own conclusion to the same effect. When Mr. Weld's paper appeared, I did not discuss it, because, although I considered the evidence- that he brought forward to support his belief that the magnetite is primary too slender to support the hypothesis, my own evidence to the contrary was equally tenuous. .The opportunities for observation and study open to Mr. Wang must have provided him with

This paper describes a Client Consultant Relationship and shows how an engineering team created an environ- ment which fosters the development of good, economical and sometimes unique solutions. A major factor in establish- ing this environment was the Client's instruction to the Consultant to "propose solutions which, in the Consultant's considered opinion, best satisfy the needs of the project - not necessarily solutions which reproduce methods adopted elsewhere in the past." The Consultant's experience in other projects and disciplines outside mining has contributed by providing a cross- fertilisation of ideas. The team approach also allows the Client's expertise to be applied positively throughout the design process. These factors and the Client's foresight in providing adequate time for planning, allow the Client-Consultant Team to apply sound fundamental engineering in developing effective solutions.

LEASING the Teapot dome to the Mammoth Oil Co. is the culminating anticlimax of the "conserva-tion movement." It is just the touch required to make a full fiasco of the whole affair. If the revered wielder of the "Big Stick" were still with us, we could hear it fall harder than it did on Ballinger. Of all the oil reserves set aside by presidential decree, there was only one which certainly could con-serve much oil for the future. This was Naval Reserve No. 3, on the Teapot dome, Wyoming. After secret negotiations, carefully guarded from the press and from the knowledge of other oil men, we are suddenly informed that this last and only known chance to save much oil for future naval needs has been given away for early development.

THE slag from the blast furnaces having been granulated, a representative sample is taken to the sample mill. It is then dried, crushed through a 100-mesh screen, intimately mixed, and packeted for assay purposes.METHOD OF ANALYSISINSOLUBLEWeigh 1 grm. of the finely-pulverized slag into a 3t-in. casserole, moisten with a little water to prevent sticking, cover with a clock glass, and add 20 cc. of hot acid (1 HNOs, 3 HCI, 4 H2 0). Evaporate slowly to dryness on a hot plate and bake (without overheating) until all the gelatinous silica is dehydrated. Cool, add 20 cc. HCI (1-1), and boil gently for several minutes; filter into a 300-cc. beaker, cleaning out the casserole thoroughly with a rubber-tipped glass rod. Wash residue with hot distilled water and transfer it to a No. 1 porcelain crucible. Dry, ignite, cool in a desiccator and weigh as total insoluble matter. Dilute filtrate to 200 cc. and neutralize some of the excess HCI with NHa.OH. Warm, and pass H2S for 15 min. Filter and wash withhot water. Boil off H2 S, oxidize with 5 cc. HNOll , reduce bulk of the solution by evaporation. to about 100 cc., and transfer to a 250 cc. flask.SILICAFuse insoluble residue over a blast lamp in a platinum crucible with three or four times its weight of anhydrous carbonate of soda, for 10 to 15 minutes, or until decomposition is complete. Cool, and extract fusion in an 8-in. evaporating dish with HCI (1-1); rinse crucible and cover with distilled water, and evaporate to dryness over a water bath. Take up dry mass with 10 cc. strong HCI, and then.

IT IS universal practice for corporations, at the end of the fiscal period, to call in a firm of chartered accountants to audit the books. The effect of this is to put an independent organization's seal of approval on the accounting of the business done by the management. Their report lets the stockholders know that the accounts rendered truly present the results of the year's business. This is as it should be; the average stockholder has no personal contact or even acquaintance with the managers of his enterprise and the approval of their stewardship by an indepen-dent agent is very desirable for maintaining confidence in their honesty and ability. But such an examination deals only with what may be called the arithmetic of the business; even the most elaborate audit, as the practice is at present, goes no further than to verify the items of the inventory. In other words, while checking up the entries showing the transaction's of the year and certifying to the correct-ness of the items of the balance sheet, such a report gives the stockholder no idea of the ability with which his affairs have been managed. If the profit and loss balance is satisfactory, as certified by the public accountants, he assumes that the management has been able; where it is not, he turns to the president's report and usually finds an explanation. Such an explanation never takes the form of admission of mis-takes in business judgment or of bad technical manage-ment. It could hardly be expected that it would. The stockholder is generally furnished, therefore, with a certificate of the honesty of his management, but never one of its ability. He does not worry about the latter as long as dividends come in; when they cease, his action generally finds expression in replacing the management. In other words, so long as profits are realized, he assumes the management to be good, even though its success is a matter beyond its control and better management would make larger profits. When there is no profit, the stockholders have no means of knowing whether it is due to conditions beyond the control of the management, as the annual report is sure to allege, or whether, by better management, profit is possible. Here is where the technical audit comes in.

IN a recent survey of the literature, the author has found evidence incompatible with prevalent views regarding the technical cohesive strength and yield strength of metals. Some of the evidence regarding the technical cohesive strength was presented in a previous paper,21 and views were presented that are believed to be in better accord with the evidence. In that paper, it was shown that the technical cohesion limit (contrary to prevalent views) varies with the combination of principal stresses,† and that the influence of plastic deformation on the technical cohesive strength is not in accordance with prevalent views. In this paper, consideration will be given to both the technical cohesion limit and the yield stress as affected by the combination of principal stresses. Evidence will be presented that the variations of the yield stress and the technical cohesion limit with the combination of principal stresses are not in accordance with prevalent views. Consideration will also be given to ductility and work-hardening capacity, which depend on the initial difference between the technical cohesion limit and the yield stress. By the "technical cohesion limit" is meant the mean stress at actual or potential* fracture. An example of a technical cohesion limit is the "true" breaking stress of a tension-test specimen, the breaking load divided by the sectional area at fracture. The cohesion limit thus obtained for a ductile metal, however, has been greatly altered by the plastic deformation. It is important to consider the cohesion limit of the metal prior to this deformation, and the variation of the cohesive strength with plastic deformation. The relation between the cohesion limit and the corresponding flow stress† determines the ductility of a metal and the energy that it will absorb before fracture. In this paper, as in the previous paper,21 tensile stresses will be viewed as positive and compressive stresses as negative. The algebraically greatest principal stress will be designated S1, the least principal stress will be designated S3, and the intermediate principal stress will be designated S2. In the previous paper, attention was confined to stress combinations with two of the principal stresses equal (with the intermediate principal stress S2 equal either to S3 or S1). In this paper, consideration will also be given to the effect of stress combinations with all three principal stresses unequal.
