MOST of us are far .from home, and yet our Japanese hosts- have made us feel very much at home. Here in the Orient we engineers are .learning a new meaning for the word "orientation"- hereafter that engineering term will be a synonym for gracious hospitality, and "to orient" will mean to turn a whole country over to the World Engineering Congress. Mere geographic distance is no longer able to separate nations, for the conquest of distance is one of the triumphs of 'modern engineering. We of the Americas are fortunate in the position of our continents: with their shores lapped by the waves of two oceans, we face' two great civilizations, the' Occidental and the Oriental, and thus we can share the intellectual resources of these two older cultures.

INTRODUCTION The International Finance Corporation (IFC) is affiliated with the International Bank for Reconstruction and Development (World Bank) but operates with a separate staff and funding. It supplements the activities of the Bank by providing, to private business, equity and loans without government guarantees in whatever form and combination most suited to the project. IFC frequently complements the Bank's activities by utilizing, for example, the Bank's public sector infrastructure activities to support IFC's private sector projects. In the case of local financial institutions especially, IFC collaborates with the Bank by providing technical and financial assistance. IFC is the world's largest multilateral organization which finances private sector business in developing countries. IFC's fundamental purpose is to promote the economic development of its developing member countries through the support of the private sector. Of the 124 member countries of IFC, more than 100 are developing countries. Since it began operations in 1956, IFC has been associated with more than 2,000 companies and financial institutions in supporting over 700 business ventures in more than 80 countries. The total capital costs of these projects exceeds $26,000 million. In the 1984 fiscal year, IFC approved 62 projects in 37 countries with a total project cost of $2,473 million. IFC will make investments only if sufficient capital cannot be obtained on reasonable terms from other sources. IFC often serves as the catalyst for a project by encouraging other investors--from inside and outside the host country--to make their own equity investments along with the local sponsor for a particular project. IFC'S SPECIAL ROLE The significance of IFC's role extends beyond just its financing and technical assistance: IFC's capability to raise investor confidence in a project and to help all the participants to arrive at mutually satisfactory investment arrangements is its distinctive character. Direct Investments IFC invests in all types of projects both large and small. Heavy industrial ventures not only supply essential materials and equipment for other domestic enterprises, but also earn foreign exchange through exports. In recent years, increased emphasis has been placed on agriculture and agribusiness products, aquaculture, food and food processing, and other renewable and nonrenewable resources such as metals and energy. [ ] An overall objective of IFC is to assist entrepreneurs and others in the private sector raise the needed capital for business ventures. IFC does not compete with, nor seek to replace private initiative and capital. Rather, IFC helps to raise funds in order to undertake projects that would otherwise be held back by the lack of adequate funding. IFC can do this in several ways: IFC can invest in equity and make loans for its own account. Copper has been used by man for a very long time and unlike certain other metals, it is an essential element for life. Its toxicity arises both from a deficit and excess copper exposure/intake. The focus of the current discussions in countries of the European Union (EU) and in some USA States, is based on the concerns, independent of the scientific facts and the economic status of these claims, of the negative influence of copper and other metals on health and the environment. These discussions have influenced the new regulations of copper in drinking water, and the approach to regulate the appropriate levels of copper in surface water, soils and sediments. To illustrate the challenges ahead for copper, the evidence by which the current US Environmental Protection Agency (USEPA), the World Health Organization (WHO) and EU recommendation and regulations regarding copper in drinking water have been derived is presented and discussed. The gaps between the demands for new standards of health and the environment and the practical scientific tools to achieve these goals are presented, and the need to develop new regulating paradigms is also illustrated. The introduction of methodologies for the regulation of essential elements and acute inorganic substances in drinking water is discussed, as well as the status of the present approach contained in the International Program of Chemical Safety Environmental Health Criteria, (EHC) N° 170. The impact of the possible restrictions on the use of copper in the EU because of health and environmental concerns in terms of the world market for copper is discussed.

The major mining companies of the world all face the problems associated with investing in new mining ventures. In particular, investment in foreign countries - whether these are advanced or developing countries - requires careful consideration. A thorough analysis of all the possible risks must be undertaken, so that realistic decisions can be made. Some of the points to be considered are outlined in this paper.

This publication and its companion three volumes are the proceedings of a conference held in Pittsburgh, Pennsylvania, April 24-29, 1994. There were twelve sessions (69 papers) that dealt with mine drainage, including modeling, geochemistry, prediction, treatment, control strategies, characterization, hydrology, and case studies. These sessions comprise volumes 1 and 2. The six sessions (34 papers) that dealt with reclamation and revegetation of disturbed lands are included in volume 3. Volume 4 includes the six sessions (34 papers) that dealt with such topical issues as fires at abandoned mine sites, subsidence, hydrology, mine wastes, and policy. Poster session presentations are represented by 49 papers and 92 abstracts that have been placed in the back of volumes 2, 3, and 4, consistent with the subject of that volume.

International lending institutions have charters requiring projects that are seeking loans to adhere to certain environmental performance standards, including compliance with host-country environmental laws, as well as observance of international environmental policies and guidelines. The most commonly applied international environmental policies and guidelines are those established by The World Bank. Lenders require a review by an independent engineer to determine that the feasibility study plans have been developed in accordance with the applicable environmental commitments. Lender agreements require independent engineer evaluation of environmental performance through the construction phase and initial operations phase of the project, culminating in the issuance of an "Environ- mental Completion Certificate."

World demand of sulphur-in-all-forms (SAF), which in 1985 is estimated to total 57.5 million tonnes S equivalent, is expected to increase to 77.6 million tonnes S by the year 2000. Key factors are the evolution of sulphur demand in the USSR, China, and the developing countries notably India, Brazil, and the countries in North Africa and the Near East with vertically integrated phosphate industries. Brimstone will remain the dominant sulphurous raw material notwithstanding the progressive increase in the supply and use of sulphur in other forms resulting mainly from the enhanced recovery df pollution sulphur and the increased use of sulphur in pyrites in those countries with this sulphur resource. Sulphur demand for phosphate fertilizer manufacture is expected to have the main impact on world sulphur demand, but in contrast to the industrially advanced countries where non- fertilizer sulphur use is not expected to increase measurably, this demand sector is expected to be of some importance in those developing countries with dynamic economies and in the centrally planned economies of East Europe and the Far East.

Over the past decade much of the new investment in mining has been outside of continental North America, let alone Canada. The larger Canadian Banks have pursued this offshore business through their multi-national organizations; this reflects both the increasingly international orientation of today's business environment, and to a degree, the competitive advantage of these offshore developments.The current oversupply situation in mineral markets and the increasing maturity of the Developed World Economy reduces the need for new mining projects relative to growth' in GNP. Those that are brought on stream in the future due to their competitive advantage, will continue to be pursued by lenders and equity investors alike. IntroductionProspects facing those who search for mineral wealth were described rather well more than 200 years ago by a Scottish professor of moral philosophy, who also happens to be the father of modern economics.In search for new mines, Adam Smith wrote in The Wealth of Nations, ""there seems to be no certain limits either to the possible success or to the possible disappointment of human industry"".How true that statement remains today, where we are seeing economic cyclical problems compounded by basic fundamental structural change within the mining industry.Despite the enormous advances in earth sciences during the past two centuries, the rewards of mineral exploration still remain uncertain. Even though a promising orebody is found, ultimate profitability may still depend on the vagaries of the marketplace, where large and unanticipated changes in supply, demand and prices can play havoc with the best of calculations.The Canadian mining industry has had its share of disappointment during the past few years, with savage competition, shrinking demand, declining prices, and disappearing profits. But it has also had some share of success, such as at Hernlo, which now seems certain to provide some of the lowest cost gold production in the world"

"Over the years, it has been increasingly difficult for the minerals industry to raise the necessary capital for its activities. To alleviate this phenomenon, complete transparency and capital market efficiency is needed. Since a company’s mineral resources and mineral reserves base is an essential component to obtaining capital, reporting these assets must also be transparent and efficient. This must occur, however, at an international level given that mineral industry operations, and its financing, are international. To achieve this, an international committee (i.e. Australia, Canada, South Africa, the United Kingdom and Europe, and the United States) was formed and has been developing standards for the reporting of mineral resources and mineral reserves.The effectiveness of these standards, however, depends on adoption by the required regulators. Unfortunately, these standards have not been recognized by the U.S. Securities and Exchange Commission (SEC). Instead, the SEC adheres to its old standard (Industry Guide 7), making it increasingly expensive and difficult for international mining companies to obtain capital in the United States. Compounding the problem is the SEC’s influence over the current work of the International Accounting Standards Board and the International Organization Organization of Securities Commissions. These organizations are in the process of standardizing international accounting practices and international securities rules and regulations. Their current position may prevent adoption of the industry-developed mineral resources and mineral reserves standards which are internationally recognized."

The significant chromite producers listed in Table I11 are not major steel producers, with the exception of the USSR. After manganese, chromium is the most important alloying metal in steel. It would not be surprising to find a direct relationship between steel production and chromite imports. The precise connection is concealed by the other uses of chromite and the grades of steel produced by the various countries involved. In addition, the amount of ferrochromium made for export must figure in any calculation. Norway, a producer of considerable amounts of ferromanganese, imports significant quantities of chromite for ferrochromium manufacture. Most of the ferrochromium is exported to European steel- producing nations. Sweden imports only half as much chromite as Norway but makes far more chromium-bearing steel. Thus Sweden has far less ferro-chromium for export, although it supplies about 2000 tons per year to the U.S. and probably some- what more to such chromite-poor steel producers as Germany and Belgium-Luxemburg.

The quantities and destinations of the metallic ores and concentrates and partially or fully refined metals in international trade result from the interaction of many factors, of which geographic location is only one. How far the processes of concentration and refining are to be carried in the country in which the mining is done and what dictates the destinations to which the more or less completely processed raw materials will move are determined not only by present-day geologic, political, and economic conditions, but also by the patterns set up by these same conditions as they obtained in the past. The first generalization that can be made regarding trade in metal raw materials-one that affects the form in which the material is transported, rather than the patterns followed by that trade-is that concentration is carried out for all low grade ores, nonferrous or ferrous, in the country in which they originate. (Rule 1.) Economic considerations alone almost always require that this be done; only high grade iron, manganese, and chromite ores can be shipped as they are mined.

The amount of lead in concentrates that moved in international trade in 1952 was only 16 pct of the world mine production of lead and was less than 27 pct of the total of lead in concentrates and lead metal that traveled from one country to another. Because almost all lead is derived from galena, lead concentrates are high grade, with a theoretical maximum of 86 pct lead, and can be shipped as such without transporting a considerable weight of waste material. It would not be surprising, therefore, to find the large share of lead in international trade moves in concentrates (Rule 5). This is not, as has just been mentioned, actually the case. There is more than one explanation for the situation. Lead smelting is not a particularly difficult process and is one for which smelting equipment can readily be made of the best size for the tonnage to be handled. Another factor that encourages local smelting is the effort of many mining countries to see that a maximum of profit from their raw materials remains in the home country. Still another factor is the newness of large scale lead mining in two of the three largest exporters of lead in concentrates. In these countries, South West Africa and French Morocco, there has not yet been time to erect enough smelting capacity to process all of the concentrate output. Even in these countries, however, it will not be long, if present trends continue and plans are fulfilled, before most or all of the lead mined is domestically smelted.

In contrast to international trade in lead, a much larger percentage of zinc shipped from one country to another is shipped in concentrate form. In 1952 international commerce in zinc concentrates accounted for 37 pct of world zinc mine production, and of the total zinc which traveled from one country to another, slightly more than 65 pct was in concentrates. The comparable figures for lead, given in Part VI, were 16 and 27 pct. Of the zinc mined in the world in 1952, 56.6 pct entered international trade; the analogous figure for lead was 57.4. This similarity in proportion of production traded is paralleled by a similarity in sources of exports. The three leading exporters of zinc in all forms in 1952 were Canada, Mexico, and Australia, in that order; the three largest exporters of lead were Mexico, Australia, and Canada. In contrast to the 86 pct theoretical maximum in lead concentrates, the maximum for zinc concentrate is only 67 pct. On this basis alone, it would be reasonable to expect that more zinc would be traded as zinc metal than lead as lead metal. Actually, the reverse is true. Less than 28 pct of the lead in international commerce moves as lead in concentrates, while 65 pct of the zinc so traded is as concentrates. Mexico, a country which has attempted to retain as much metal processing activity as possible within its own borders, has negligible exports of lead in concentrates.

INTRODUCTION In 1974, Industrial Miners Mexico, S.A. (IMMSA), agent for the borrowers, was the largest privately-held mining, smelting, and refining company in Mexico (accounting for 32% of Mexico's nonferrous metal and coal production in 1974), the fourth largest company in terms of sales, and the second most profitable company in Mexico, excluding government wholly-owned and operated industries. The company was engaged in the mining, smelting and refining of coal, copper, fluorite, gold, lead, silver, zinc and related by-products for domestic consumption and export. A combination of favorable factors led IMMSA to propose an investment plan amounting to US$286 million for 1974 through 1978, of which US$150 million was to be financed. These factors included: Substantial profits in 1973 and 1974 Positive near-term outlook for metal prices Success of the reinvestment program in increasing productivity Substantial additions to proved reserves during 1973-1974 and Fiscal incentives provided by the Mexican government to stimulate investment in the mining industry. The primary purpose of the investment program was to construct a new electrolytic zinc refinery and to expand and modernize many of the company's existing mining and refining facilities. THE BORROWER Company History Compania Miners Mexico, S.A. was incorporated in the city of Monterrey in 1918 as a wholly-owned subsidery of ASARCO Inc. (formerly American Smelting and Refining Company, New York) for the purpose of mining and processing non-ferrous metals and related products. In compliance with the Government's Mexicanization program, ASARCO Inc. divested itself of 51% of its equity in Compania Miners Asarco, S.A. on June 30, 1965. Subsequently, ownership in the divested share was apportioned as follows: 15% ownership in Compania Miners Asarco, S.A. to a group of private investors, and 36% in trust for subsequent public sale. The company's name was changed to Asarco Mexicana, S.A. in 1965. Mexican ownership in Asarco Mexicans, S.A. was increased to 51% in 1967, following the purchase of the 36% share ownership held in trust, and then to 66% in 1974 when ASARCO Inc. divested itself of an additional 15% of its holdings in Asarco Mexicans, S.A. Following its 1974 divestiture of 15% of Asarco Mexicans, S.A., ASARCO Inc's ownership in Asarco Mexicana, S.A. was reduced to 34%. In 1974, the company changed its name for the second time to Industrial Miners Mexico, S.A. (IMMSA). Fiscal Agreement IMMSA entered into a fiscal agreement with the Mexican government in 1969. The agreement, which was renewed in 1974, provided for 100% of the production and export tax corresponding to the federal government with a minimum of 50% of the amount refunded to be reinvested in fixed assets. The International Mining Convention held in Nelson, B; C., May 17 , to 19, was attended by nearly 500 delegates, of whom about 100 were from Spokane, 150 from the Slocan district, and the others from different points in Canada and the United States. Arrangements were in charge of the Nelson, Slocan and Eastern British Columbia Mining Men's Club, under the direction of Secretary Fred A. Starkey, assisted by the City of Nelson, Associated Boards of Trade of Eastern British Columbia and Nelson Board of Trade. The Columbia Section of the American Institute of Mining Engineers; cooperating with the Western Branch of the Canadian Mining Institute, provided the technical program, under the management of Secretary E. Jacobs, of Victoria, and Secretary L. K. Armstrong, of Spokane. Three technical sessions were held, at which the following were read: Difficulties of the Electrolytic Zinc Process, by Thomas French.
