"7.1. INTRODUCTIONThis chapter addresses the joint venture and examines a number of general concepts of the joint venture relationship. Chapter 8 looks at some specific concepts related to the provisions of a joint venture agreement, which are equally applicable to a shareholders’ agreement or other contractual relationship. The term “joint venture” is used because the author is a common law solicitor (a matter of convenience for which apologies are offered to civil law readers), but it should be noted that, in many aspects, the legal structure of an entity is irrelevant. It is the relationship of the parties, be they venturers or shareholders, that is important, and the areas of concern are surprisingly similar (except for terminology).The details of the joint venture relationship and agreement could fill several books. Accordingly, this chapter and the next focus on selected topics that appear to have caused problems or confusion or to be the basis for disputes. And remember that, although the following discussion is in the context of a joint venture, many of the comments apply, either directly or indirectly, to virtually any common undertaking and the agreement defining it.For interest’s sake, this chapter starts with a summary of some of the earlier types of agreements and arrangements that have evolved into the joint venture agreement of today in Canada, the philosophy of their format, and the reasons for their demise.7.2. EVOLUTION OF THE CANADIAN JOINT VENTUREThe Early DaysMuch of the opening up of Canada’s north is due to exploration for and development of mines. The early discoverers were relatively free to roam and explore at will and, if they were fortunate enough to find something, they dealt with the appropriate government to acquire exploitation rights. The early interests lay in gold or silver. Workings were small, usually worked by the owner alone or with only a couple of helpers to extract the native gold or silver. If the owner wanted to move on, he could sell his property outright and use his stake to look elsewhere.As logging and mining camps were opened, the development of better roads and railways made access easier. Entrepreneurs saw the opportunity to make money by assembling large parcels of land and working them as a single operation. In order to do this, some owners who were not ready to sell out had to be convinced to do so through more attractive offers"

The progressive development of underground mines frequently requires increased ventilation flow rates through mine shafts that were originally designed for lower rates. Where these shafts are equipped with conveyances running on rope guides, the higher air flow rates adversely affect the lateral motion of conveyances and could cause conveyances to collide with the shaft walls or with one another. Hence the safety impact of higher flow rates requires proper assessment. This can be undertaken by use of computer simulation models to predict the dynamic motion of the conveyances during hoisting. It can also be undertaken entirely by field testing, or using a combination of simulation and field testing. This paper discusses these techniques and makes cautionary remarks about setting an absolute generic maximum flow velocity for all shafts. Iron ore in the Middleback Range area has a density and susceptibility contrast with adjacent rocks, and gravity and magnetic methods are applicable to exploration for it. The gravity method is satisfactory whether the ore mineral is hematite, magnetite, or limonite; the magnetic method is suitable for detecting ores which contain magnetite, such as some hematite ore, magnetite ore, and possible ore in the form of magnetite-bearing schists. jaspilites, and carbonate rocks.Geophysical exploration began in 1948 and is still in progress. The methods which have been used are aeromagnetic (83 per cent), ground magnetic (13 per cent), gravity (3 per cent), and others (1 per cent). Ground magnetic surveys have been made wherever aeromagnetic surveys recorded large anomalies. The gravity method is being used to investigate those parts of the area considered most favourable for ore occurrence.Qualitative and quantitative interpretation of the geophysical data has been made and the rocks causing selected anomalies tested by bores.Magnetite in the Middleback Group rocks produces the major magnetic anomalies in the area. The average magnetite content of magnetite-jaspilite, which is the commonest rock type, is 33 per cent by weight and that of magnetite-carbonate at the Iron Duke-Iron Duchess is 50 per cent. These rock types also contain hematite and the average total iron content of the former is 35 per cent and of the latter 50 per cent.INTRODUCTIONThe geology and iron ore resources of the Middleback Range area were described by Miles (1954). Since 1954, much drilling, mapping, and quarrying has been done but there is no published report of this work.The rocks which constitute the Middleback Range, Camel Hill-Cooyerdoo line, Katunga Hill-Iron Knob, and Ash Range (Fig. 1) belong to the Middleback Group of Middle Precambrian or late Archaean age. Minutes after the Friday afternoon October 16, 2009 announcement that the 80 year old Lake Champlain Bridge was closed to traffic out of concern for public safety, emergency detour planning started at VTrans and NYSDoT. The closure severed a cross-lake link between Addison, VT and Crown Point, NY, which created a 76 mile detour and significant hardship for commuters, farmers working on both sides of Lake Champlain, and businesses relying on both traffic and employees commuting between Vermont and New York. Rehabilitating the bridge was determined to be economically and technically unfeasible and the design of a replacement bridge was accelerated for a spring 2010 construction start. In the meantime, a temporary ferry alternative was to be rushed into service beside the original bridge by February 2, 2010. This paper presents the case history of the fast-tracked ferry dock design and construction on the Vermont side. Twin 300-foot-long pile supported approach spans, a loading slip system and ice deflectors were designed, fabricated and constructed in 90 days in the fall/winter of 2009-2010. This chronicles the project from initial concepts through the extraordinary cooperation between state and federal agencies, and near round-the-clock winter construction on Lake Champlain. This project and its companion project on the New York shore succeeded by virtue of exceptional cooperation between seasoned regulatory, design, and construction participants and warrant this case-history presentation of the Vermont project to share within the industry as an example of overcoming extraordinary challenges.

The wearing of self-contained oxygen breathing apparatus, although relatively safe if proper precautions are taken, is dangerous if defective apparatus -is worn, if men with inadequate training, experience, and physical requirements are used, or if improper procedure is followed. This is proved by the fact that at least 26 men are known to have lost their lives while wearing-oxygen breathing apparatus since its introduction in this country about 35 years ago. Self-contained oxygen breathing apparatus, commonly called "mine rescue apparatus" and sometimes improperly referred to as "oxygen helmets," is the only equipment that can be used for respiratory protection against poisonous mine gases, regardless of concentration or against an atmosphere containing little or no oxygen.3/ Apparatus of this type was introduced in this country in 1907, and since that time it has been widely used in conducting rescue and recovery work after mine fires and explosions and in some other work. All oxygen breathing apparatus used in this country before 1918 was imported from Europe, and although this equipment provided safer, more rapid means of conducting recovery work after mine disasters, there were many mechanical deficiencies in the apparatus which resulted in the death of some of the wearers. This led to the research and experimental work by the Bureau of Mines that resulted in the development and manufacture of more reliable and efficient types of apparatus in this country.

It is clear that precise overground and under-ground mapping is an important factor for all designers. Due to rapid changes in underground construction, tunnel designers are increasingly in need of updating project information. This article explains the latest techniques for detecting under-ground utilities as well as underground mapping. Global Positioning System (GPS) is a very ac-curate and popular navigation and mapping system that has been used extensively above ground, but is not used for underground mapping as signals are not strong enough to pass through ground or water. Most underground techniques were developed for military applications during the first and second world wars. Later, the techniques became public. For example, ground penetrating radar was developed for the military in 1970 to be used for locating tunnels under the demilitarized zone between North and South Korea. Later, the same technique was used for detecting unexploded ordinance such as plastic land mines.

Measurement of densities, susceptibilities, permanent magnetization, and calculation of demagnetization factors has allowed computer modelling of gravity and magnetic data over the Middleback Range iron formations of South Australia. As well as providing structural information, the study emphasizes the effects of weathering on the interpretation of magnetic data.

THIS paper gives the results : first, of a research into the somewhat extensive literature of titanium; and second, of a series of original tests upon the effect of titanium on iron castings. New investigations have also been made upon the effect of titanium on steel, but I hope to treat this subject in an independent paper at some later date, and, therefore, will not discuss the experiments in detail here. The combined results of this study, which extended over a period of more than two years, can be briefly summarized as follows: 1. Steel or cast-iron, in which the titanium is properly proportioned, and which has been properly treated, is improved in strength, toughness, and durability against wear, such as, for example, the wear of railroad-rails, of steel and chilled-iron .rolls, car-wheels, etc. 2. These improvements seem to be caused, not so much by the direct effect of titanium on the metal, as by its cleansing influence in removing harmful impurities, such as oxygen and oxides, nitrogen, occluded slags, and perhaps also sulphur. It appears also to reduce segregation, which would contribute to the same end. 3. In order that its effects may be fully realized, the treatment of steel or iron with titanium must be correctly performed. Gold has been demonstrated as a possible catalyst for oxidation reactions. Some evidence for a possible promotion effect of platinum has also been recorded. The influence of platinum as promoter for Au/?-Al2O3 prepared via anionic ion-exchange for the oxidation of glycerol was investigated in a batch reactor at 60°C. It is inferred that the addition of platinum reduces the catalytic activity and therate of deactivation, resulting in an overall higher final conversion of glycerol with increasing platinum loading. The addition of platinum to the catalyst favours the formation of the desired product, glyceric acid.

The use of a time series variogram as an aid in controlling the quality of a product was pioneered by Pierre M. Gy and is described. The ability to analyse and interpret covariance relationships time series data is possible using the variogram. The concept of stream heterogeneity allows sources of variability in process streams to be identified and isolated. Principally this is distributional heterogeneity that is due to a short range effect of segregation in the process stream related to size or composition distribution of the material on a local scale and due to a long-range change in the size and grade of the material stream. The variogram is simply a tool for representing these sources of variability in a way that is explicit, allowing identification of the source and providing important insights to temporal continuity between samples. This paper describes the chronologically related large-scale variability in an iron ore process stream (%Fe), and illustrates the control and mitigation of variability at various stages within the process using a variogram. Three main sources of variability are identified including the random variability V[0], the process variability V[1], and the variability due to cyclical phenomena V[cyclic], arising from human routine or mechanical defects. These sources of variability can be represented on the control chart that provides the plant superintendent with insights as to the sampling capability of the systems in place. Maintaining levels of variability within customer specification limits requires that production systems be controlled without overcorrecting for the trends in changing quality. This can be done only by representing the limits of control relative to the limits of specification on a control chart. Where the specification limits encroach on the control limits, one or the other, or both, may need to be changed; specification limits that constrain the control limits lead to reactive decision making that is expensive and stressful for plant operators.

To help maintain an adequate supply of minerals to meet national economic and strategic needs, the Bureau of Mines developed a mathematical model that describes acidic ferric sulfate leaching of copper from sulfide ores. The leaching model can aid in maximizing minerals and metals recovery from primary sources by giving operators and management a better understanding of the copper leaching process. This will aid in improving dump leaching operations. The model is based on a steady-state approximation of the continuity equation for diffusion of ferric ions in the rock pores and the intrinsic leaching kinetics of the various sulfide mineral particles. Ore characteristics included in the model were ore particle-size distribution, particle shape, grade, mineral content, mineral particle size, porosity, and tortuosity. The continuity equation was used with ferric ion concentration gradients and a fixed value for the diffusion coefficient. Except for effective diffusivity, each of these factors was either measured experimentally or estimated from theoretical considerations. The effective diffusivities were determined by fitting calculated leaching curves with experimental leaching data. Vertical variations in leach solution composition and temperature within a dump are not considered in this model. The model accurately predicted copper extractions for several large-scale tests during nearly 500 days of leaching.

A resource document, prepared for the Royal Commission on the Health and Safety of Workers in Mines, which outlines aspects of occupational health and safety in the Canadian metallurgical industry has been expanded to provide examples of some practical solutions. General process descriptions are provided in conjunction with some of the major potential hazards associated with each step. Emissions to the working environment, particularly around converters, are discussed. Newer metallurgical processes, the role of automation and other advances in the metallurgical industry are described with respect to their impact on the work place. The role of staff and unit employees in providing safe working conditions in the complex metallurgical plant of today is outlined and the need for close cooperation within the human sector emphasized. The technology is available and is being applied to integrate the complex process requirements with realistic regulations to control emissions and provide a safe, healthy environment in metallurgical plants.

Since the early 1900s the geotechnical community has investigated every significant failure of a tailings dam, improved our knowledge of the behaviour of the tailings storage facilities, developed analysis methods, compiled lessons learned, and committed to zero failures. The rate of occurrence of tailings dam failures has reduced since the 1980s, however, failures continue to occur and continue to surprise us. At BHP, we have decided to take an approach to the tailings management that is similar to the approach to safety. We are looking at ways to eliminate, substitute, separate or engineer around the hazard (tailings dam failure). As such, our ultimate long term goal would be to eliminate the need for new tailings facilities. Unfortunately, we have not developed yet technologies for extracting many of the common metals and minerals without producing tailings. Our shorter term goal is to substitute the current conventional slurry tailings facilities with less risky dryer facilities. We are working with vendors and research organizations to develop technologies that can be efficiently applied on a large scale. At the same time, we are committed to using the best available engineering to reduce the risks associated with our existing and new conventional tailings facilities. The best engineering can be achieved by people with the appropriate education, experience, attention to detail, discipline and authority. We have implemented a system of governance to make sure, we have the best engineering applied to all our facilities, considering the specific conditions at each site.This paper presents the current tailings governance process at BHP, and the initiatives that were undertook towards achieving a zero failure goal. The potential of uirought tungsten- and tantaluw-rich alloys of the W-Ta-Mo-Cb system was investigated for high-strength structural applications above 2500° F. Appreciable strengthening of tung-sten and tantalum—essentially attributable to solid-solzction effects—was obtained with binary, ternary, and quaternary alloys. Tensile strengths as high as 67,000 psi were achieved at 3000 OF. ThE quest for wrought structural materials which possess good strength properties at temperatures above 2000°F has led to a considerable research effort during the past decade. In addition to exploring the potential of various high-melting-point refractory metals (such as molybdenum, columbium, tantalum, and tungsten) for very high-temperature structural applications, alloy-development programs have been undertaken to achieve greater strengths than could be achieved with unalloyed refractory metals. The methods of strengthening refractory metal alloys have included both solid-solution and dispersion strengthening. General relationships among the relevant properties (melting point, recrystallization temperature, and high-temperature strength) of refractory metals indicate that the highest strengths at temperatures of 2500°F or higher would be obtained with tungsten-or tantalum-base alloys. Therefore, the present investigation was undertaken to determine the high-temperature strength potential of solid-solution strengthened alloys based on the binary system W-Ta; to effect further strengthening, minor additions of molybdenum and columbium (at the 6 and 12 pct levels) were made. The portion of the W-Ta-Mo-Cb quaternary alloy system of interest is shown schematically in Fig. 1. The component metals—W, Ta, Mo, and Cb—have a bcc structure at all temperatures, and their binary systems are mutually completely soluble.' Complete solid solubility in the W-Ta-Mo and W-Ta-Cb alloy systems has been demonstrated,' and, therefore, it was expected that the quarternary alloys of the system would also exhibit complete solid solubility at all temperatures. In the virtual absence of contamination by interstitial elements, all the alloys would be truly solid-solution strengthened. Twenty specific compositions of this investigation included binary, ternary, and quaternary alloys of the W-Ta-Mo-Cb system as well as unalloyed tungsten and tantalum. The compositions are shown in Table I. EXPERIMENTAL PROCEDURE Consumable-electrode vacuum-arc melting with ac power was used to produce small laboratory-sized, cylindrically shaped ingots (1-1/4 in. in diameter and 2 to 3-1/2 in. long) of the twenty compositions. A furnace was specially constructed to melt as many as four electrode rods simultaneously into molds lined with tungsten or tantalum sheet. High-purity rods of tungsten, tantalum, molybdenum, and columbium were used for consumable electrodes; the diameter of each rod was determined by the desired weight percentage of the component metal in a given alloy. This report gins the results of a study conducted hy the Ilnreau of Mines for the purpose of informing the petroleum industry on the recent progress in the de,·elopment nncl application of the absorption process for recO\·ering gasoline from natural gas. The work has been undertaken entirely with regard to plant practice and for the purpose of describing the features and the operation of units of the plants now in use, the improvements that have been made, and the reasons for any ehanges eontemplated by the engineers in eharge· of the plants studied. Throughout the United States the impro,·ements in the absorption process that are under consideration by engineers not only widen practice so as to include gases at all pressures and percentages of gasoline content, but seem to be dewloping definite standards as to dimensions of towers, l"elocities of flow, saturation of oi~ areas of eooling surfaces, and quantities of menstruum to be circulated. Although perfect practice has by no means been attained, the writer belie,·es thnt a description of the current practice at ,·arious plants, including those ob,'iously more efficient features that each plant hns <le\"eloped and uses at one or another stage of treatment, will intere;; t and possibly help all persons operating or designing absorption plants.

In 2005, El Teniente mine began preconditioning the primary rock mass by hydraulic fracturing (HF). The major perceived benefits of this process are a decrease in the magnitude of the expected maximum seismic event and improved cave propagation. In addition, HF has resulted in new information on the propagation pressures of each fracture. Previous studies have attempted to relate propagation pressure to minor principal stress or confining stress.Considering the spatial continuity of propagation pressure and the significant quantity of collected data since the incorporation of the HF technique, minimum requirements for geostatistical modelling have been reached, permitting robust estimates inside the representative volume with acceptable errors (Cornejo, Mu&#241;oz and Rojas, 2012; Cornejo and Landeros, 2013). These results are then used to identify zones with higher magnitudes, which are mostly related to more complex geotechnical zones (intrusive and major faults) and caving singularities, making it possible to estimate the spatial extension of these zones.Finally, these results are integrated with other geomechanics aspects to support risk analysis of the mining plan.CITATION:Cornejo, J, Landeros, P, Benado, D, Caviedes, C and Pinochet, A, 2016.
