The equipment of a laboratory in which students are to be trained for practical work in metallurgical chemistry presents many difficulties not encountered in the fitting up of a commercial or works laboratory. At an industrial plant the chemical work required usually demands the frequent repetition of a comparatively limited number of methods. In a steel-works laboratory, for instance, by far the larger part of the work consists in making determinations of the usual impurities found in iron and steel; at a smelter the great bulk of the work is confined to the analysis of ores, slags, mattes, and fuels, which involve the frequent application of perhaps not more than a dozen different methods. In a laboratory of this character, therefore, those operations most frequently applied may each have a certain section set apart and fitted permanently with such apparatus as best facilitates the carrying out of this one operation. The work of a commercial or custom laboratory is perhaps more varied than that of a works laboratory, but the couditions are similar in these respects, that there is usually no great need for economy of space, and that a few skilled workmen are employed to carry the determinations through from beginning to end without interruption. On the other hand, the laboratory of a technical school should be planned on such a scale that a comparatively large number of students may work at the same time, and each desk should be equipped for general metallurgical analysis. In most institutions for technical education the student's program is so arranged that his day is divided among several subjects in the course of study; only a few consecutive hours being devoted to one subject, or spent in one laboratory. The following procedure in estimating mineral oil when mixed with vegetable or animal oils, is the result of a long series of cxperiments based on the method suggested by Sir William Thompson and Mr. A. H. Allen, in a paper read before the Royal Society.* Four to five grams of the oil under examination are weighed out into a porcelain capsule of 75 C.C. capacity. Thirty C.C. of a 10 per cent. solution of potassium-hydrate in alcohol are added, and the capsule covered with a watch-glass is placed in a water-bath heated to about 93' C. The mixture of oil and alkali should be stirred frequently, and after three-quarters of an hour it is boiled with stirring. This will secure the complete saponification of all the vegetable or animal oil. After the boiling has been continued some time, and most of the alcohol is expelled and a thick scum of soap forms on the surface, a little bicarbonate of soda is added to convert the excess of caustic alkali into carbonate. When the contents of the capsule have become pasty an equal bulk of fine, clean sand is stirred in. This makes the soap granular, and facilitates the removal of the last traces of alcohol. The capsule is now heated for two hours more on the water-bath. After cooling, the contents of the capsule are transferred to a short-necked funnel, having a thin plug of asbestos, and washed with petroleum-ether, or some other light petroleum spirit. The ether dissolves out the mineral oil from the soap, and is best collected in a quarter-liter flask having a short neck. The ether can be applied conveniently and effectively by a small washbottle. Seventy-one delegates, representing 74 organizations with a membership in excess of 105,000, attended a conference of technical societies, in Chicago, Apr. 23-25. It was called by Engineering Council, and unanimously adopted a resolution urging Congress to establish a Department of Public Works. This would include the services and bureaus having to do chiefly, with matters of engineering and architecture. Among the bureaus, services, and activities, which logically belong to a Department of Public Works, are the following: Bureau of Public Roads; the United States Reclamation Service; the Alaskan Engineering Commission; the Construction Division of U. S. Army; a Bureau of River, Harbor and Canal work, including such functions as are now exercised by the Mississippi River Commission and the California Debris Commission; a Bureau of Architecture; a Bureau of Surveys, including the Coast and Geodetic Survey; a Bureau of Mines; the Geological Survey; the Forest Service, at least until the same is divorced from the supervision of water powers and road building; and the Bureau of Standards. Later, the following resolutions were unanimously adopted: RESOLVED, That this conference be known as the Engineers, Architects, and Constructors Conference on National Public Works; that it continue in existence until dissolved by its own action and that its officers and committees be empowered to further the organization and development of a National Department of Public Works. RESOLVED, That for the purpose of furthering the passage of a bill for the creation of a National Department of Public Works there be set tip by this Conference an Executive Committee, a Committee on Text of Bill, and a Campaign Committee. The Executive Committee shall have the power to create a Finance Committee and other committees and to add to its own membership or to that of its committees.

TIE fundamental principle of resistance thermometry lies in the determination of temperatures by the measurement of an electrical conductor subjected to various temperatures and the translation of the resultant changes, in ohms, into temperature equivalents. Such resistance measurements can be made with maximum precision by the use of a standard Wheatstone bridge and a reflecting galvanometer of high sensitivity. Under such conditions, results are obtainable that may be accurate within 0.1 or even 0.01 per cent., and the "idiosyncrasies" of heated electrical conductors can be studied with advantage and profit, even if the latter is not of a financial nature. The chief requisites for producing a serviceable -commercial instrument may be enumerated as follows: First, there must be a resistor or "bulb" that can stand the maximum temperature without deterioration and which has a pronounced temperature coefficient. Second, there should be constructed an "even" bridge, having two fixed arms of equal values, in ohms. Third, a rheostat, the maximum resistance of which will be equal to the total change in the resistance of the bulb, between temperature extremes, is required. Fourth, there must be a sensitive galvanometer which is aperiodic, or nearly so. Finally, there should be a fairly steady source of direct current. The general scheme of this type of apparatus, in its simplest form, can be readily understood by reference to Fig. 1. Resistors A and B are constructed of manganin, therlo, or some other resistance wire having a negligible temperature coefficient. The sensitive D'Arsonval galvanometer G has its zero in the center. R is a rheostat and X is a resistor or bulb made of insulated platinum wire, or else of nickel, copper, or some alloy, according to requirements. K is a battery, but a direct-current service line is often used instead, with sufficient ballast in series to properly reduce the current.

IN twinned crystals of the face-centered cubic metals the lattice of one twin is a mirror image of the other in a common twin boundary. When several twins appear within large grain in a sheet specimen, the twin one boundaries form a set of lines at the surface of the specimen which coincide with (111) planes of the large grain. Furthermore, for twins of the same orientation, these lines are parallel. Generally, the presence of identically oriented regions with straight parallel boundaries coinciding with a (111) plane of the surrounding crystal is strong evidence for identifying the island regions as twins of the parent crystal. However, Fig. 1, which shows the macrostructure of a large grain of copper with island regions that satisfy these conditions. is not an illustration of (111) twins. Since the reverse side of the specimen has much the same appearance, it was thought at first that these regions, which appear dark in the macrograph, actually were twins. According to X-ray data, however, these regions are second-order twins of the large crystal. With regard to their formation, these second-order twins formed by secondary recrystallization in a cube texture matrix. Growth occurred in the direction of the arrow (see Fig. 1) as the specimen moved slowly into a gradient temperature furnace as described previously.' Nucleation of the second-order twins occurred, therefore, on the ends facing opposite the arrow. If the origin of the second-order twins were due to repeated twinning, some first-order twin structure should be visible on these ends. This proved to be the case, as very small twins were readily found with the aid of a microscope, and probably could have been seen, in some instances, under ideal lighting conditions without aid of a microscope. Fig. 2 shows a cross-section view taken perpendicular to both the surface and the (111) trace of the parent crystal (visible as a straight boundary in Fig. 1) at the beginning point of growth of a second-order twin and where one first-order twin was relatively thick. In the micrograph, A is the large parent grain; B is the first-order twin of A; and C, which is a first-order twin of B; is a second-order twin of A. Between A and B and between B and C the major straight portions are traces of common (111) twin boundaries. The straight portion of boundary between A and C, however, is not a common crystallographic plane to the two lattices; it is a (111) plane of A and a (115) plane of C. Without considering the mechanism of twinning itself, the origin of the second-order twins may be accounted for in terms of repeated twinning and special growth characteristics. After each nucleation, a selective growth process can be thought of as favoring growth of the first-order twin in local spots only and favoring growth of the second-order twin to an extent comparable with that of the parent grain over relatively large areas in a way similar to that described for twinning in aluminum.' It has already been pointed out that the boundary between the large grain (A) and the second-order twin (C), which is responsible for the straight boundary portions in Fig. 1, involves a (111) plane of A and a (115) plane of C. The same combination of planes is not only possible in first-order twins, but actually appears quite frequently.3 Their prevalence in first-order twins and their presence here in second-order twins, together with the necessary occurrence of a large number of common lattice sites at the boundary, is an indication that this combination produces an "energy cusp"' boundary. (Energy cusp boundaries have been described by Shockley and Read.") The configuration of atoms near a {Ill), (115) boundary in first-order twins is of course different from the configuration near the same type of boundary in second-order twins. References 1 M. A device developed by the U.S. Bureau of Mines for the detection and quenching of coal mine explosions suffers from the inability to discriminate between the light emitted from hydrocarbon combustion and that emitted by electrical sparks and miner's cap lamps1. Since the quenchant device is activated by an internal explosive charge, the possibility of serious injury to nearby personnel demands a detector which can reject false signals. Described herein is a detector which can provide a rapid response signal upon the emission of radiation from hydrocarbon combustion and concurrently reject spurious signals from such sources as sparks and cap lamps. It was suggested that a detector might be developed to operate on the principle of monitoring the radiation intensity emitted from two separate spectral regions and ratioing the intensities2. A series of experiments was conducted for combustion of methane-air mixtures which demonstrate the ability of such a detector to discriminate between combustion and spurious signals. Experimental Apparatus A cylindrical (3.8 in. diam by 12 in.) stainless-steel shock tube test section was used as a combustion chamber. The test section was equipped with quartz windows (2 in. diam) on either side, a piezoelectric pressure transducer, and two steel electrodes. A 10-kv capacitor discharged across the electrodes provided a submicrosecond duration spark to ignite the gas mixture within. The desired partial pressures of methane and air were obtained by using a Wallace and Tiernan 0-800 mm Hg pressure gauge with which pressures could be determined to an accuracy of % mm Hg. A severely technical article, however well written, can not be an agreeable form of literature. It suffers from the defects of its qualities. One defect is a congestion of language, due to a multiplicity of adjectival nouns. The sentences are packed with words of unpleasing sound, charged with complex ideas, crowding one another so closely that the phraseology moves like an ice-pack in Bering Sea or a log-drive in a river; the undercurrent of meaning may continue to move, but the surface is obstructed. This verbal congestion is made evident by ugly compoundings, many of which are adopted by the technical writer in the mistaken belief that they give directness to his statements. For example: A unanimously approved scheme "A scheme unanimously approved" The continuous temperature record "The continuous record of temperature" To stimulate interest in synthetic plant construction "To stimulate interest in the construction of synthetic plants " In smelters reverberatory-furnace firing with powdered coal has been practised for a decade. The work described has one serious shortcoming: grain size was not monitored during heat up to the temperature (1675°F) of isothermal anneal. The chief obstacles to p grain growth in titanium a-ß structures are the a grains. Heating a structure such as that shown in Fig. 1 to a temperature close to ß transus causes dissolution of a grains in order to adjust the a/ß ratio, compare Figs. 1 and 2. During this process there is a concomitant growth of the ß grains—otherwise ß grains would have to be nucleated in order to adjust the a/ß ratio. When the annealing temperature is reached the a/ß ratio stabilizes and this initial phase of ß grain growth ceases. After an incubation period growth resumes as described. Some 0 grain boundaries can be clearly seen in Fig. 1. (Skilled metallography commonly produces photomicrographs which show more structural detail than direct observation.) These boundaries suggest that the average ß grain size is approximately 0.002

Ore reserve determinations supporting property appraisals and economic analyses leading to investment decisions typically require many repetitive calculations. Computers have become well-accepted tools for accomplishing these computations, and are partly responsible for the development of new evaluation methods during the last decade. Excellent descriptions of manual ore reserve may be compared with current computer reserve methods1,2 in North America2 and South Africa3. A comparison indicates that computers are used in two cases: a) when a cost savings can be achieved by the simple conversion of a manual method to a computer processed equivalent, and b) when the quantity of data and ore reserve estimation purpose justifies adoption of a complex ore reserve computational method not feasible on a manual basis. Ore reserve computations essentially consist of using sample data and a mathematical method to arrive at an estimated geometry, tonnage, and grade for a mineral deposit. The mineral deposit is then subdivided, if necessary, into ore and waste components. This separation is based on economic factors which may be explicitly introduced in the computation or incorporated in a numerical cutoff grade4. Computer methods for accomplishing these tasks are presented in three papers. "The Use of Contour Surfaces as Predictive Models for Ore Values" discusses the requirements for a satisfactory value prediction model and the importance of considering auto -covariance. A weighted moving average method is described and compared to other mathematical surface development methods. In the second paper, "The Applications and Limitations of Computer Techniques in the Evaluation of Hypothermal Tin Lodes," particular problems encountered in estimating geometrically erratic economic deposits with a low valuable mineral content are documented. Economics and probabilistic concepts are introduced, allowing a comparison of risk and speculative value for a deposit. Economic considerations are integrated with ore estimation techniques in the third paper, "Method of Calculation of the Iron Ore Reserves in the Lorraine Deposit." The prediction model

FATE, rather than planning, put Bob Morris into coal mining. He was a farmer's son, born at Plattsburg, Ohio, just 68 years ago (Feb. 28, 1878) though he could easily pass for ten years younger. Before he was ready for high school the family moved to Columbus, seat of Ohio State University, whose course in mining engineering attracted him because lie thought it the broadest of the engineering courses. He really wanted to be a steel metallurgist but it was a coal-mining company that offered him a job when he graduated, and this circumstance directed his entire future professional life. To. be sure it wasn't such a glorious opportunity so far as pay went -$40 a month-but his employer, the Modoc Coal & Mining Co., Modoc, Ohio, was developing a new shaft mine, thus offering some good experience. In 1902, after a year's experience, he was made superintendent of the property. Then in 1903 the Continental Coal Co. at Glouster, Ohio, offered him a better job as their chief engineer, which he retained until 1905, at the same time joining the A.I.M.E.

PART of a program of research on the Ti-A1 system1 involved a study of the lattice parameters of the titanium-rich a solid solution, which has a hexagonal close-packed structure. For this work, a 14 cm Debye-Scherrer powder camera and filtered CuK, radiation was used. For each pattern, the parameters were calculated by a least squares solution of the five strongest high angle lines. This provides an accuracy of i0.005A or better. The results are shown graphically in Fig. 1. It will be seen that an unusual change of slope occurs in the curve for the C parameter at high aluminum contents. Such anomalous changes in slope have been recorded by RaynorV or several magnesium-rich solid solutions. The effects were interpreted in terms of a special contribution to the lattice distortion due to factors of electronic origin predicted by Jones." Jones' theory, in substance, suggested that an unusually large expansion of the lattice would begin when the electron per atom concentration in the alloy was increased to a value at which an overlap just began from one Brillouin zone to another. SIX different samples of anthracite, each a firm compact lump, were finely pulverized and immediately put in bottles. Portions of these were weighed and placed upon an ordinary water-bath and dried for one hour; the average loss was 1.24. The same portions were then placed in a hot-air oven, and for two hours kept at a temperature of 285' F., and, after cooling in a dry chamber, were again weighed, when there was found a further average loss of 1.22, making a total so far of 2.46. They were then immediately returned to the oven and for two hours more kept at a temperature of 530' F. and cooled and weighed again, when no further loss was found, but an average gain of .55 upon the previous weighing. The same portions were a third time placed in the oven and for about ten minutes kept at the last-mentioned temperature, and then, while still hot, were poured into one-quarter inch glass tubes, each with a bulb at one end, and heated over a Bunsen burner at a temperature below a red heat, when more water vaporized and condensed in small clear globules on the cold parts of the tubes. Fresh portions of the coals were then taken, and the total amount of water determined, and the average was found to be 3.04, or 1.80 more than was found at the temperature of the water-bath, which was perhaps a little below 212' F., and .58 more than at 285' F. The device here described has been found useful in sampling foundry-iron, and there is no reason why it should not be equally useful in sampling other metals, which are not too hard to be drilled with a breast-drill. It consists, as shown in Figs. 1 and 2, of an ordinary plumber's gas T (without bead) of about 1/2-inch in internal diameter, over the leg of which is snugly fitted a small tin cup, about If inches deep, to catch the drillings which are made by use of a breast-drill with a 1/4-inch twist bit, working through the arms of the T. The forward arm of the T is filed down to a blunt edge, over which is stretched a short piece of rubber tubing projecting a little beyond the end. The bottom of the inside of the front arm of the ? is filed down to a slope, to facilitate the passage of drillings into the tin cup. The rear arm of the T is fitted with a tin ring, projecting about 1/4-inch, for the purpose of holding in place a stiff spiral brass spring, which serves to press the sampler firmly against the metal to be drilled. The other end of the spring is supported against a shoulder of the breastdrill. The projecting rubber prevents the loss of any drillings, and also the falling of sand from above into the sampler. With ordinary care there need be no risk of getting particles of rubber into the sample. It is, of course, not possible to get a fair average sample of drillings, representing a pile of foundry-iron, by taking drillings from any one or two pieces, because of the frequently mixed character of the iron. This observation applies more particularly to the sampling of iron as it is broken and piled at the foundry, than to sampling at the works, where, if the furnace is working regularly, a few pigs may fairly represent a whole cast. ON account of its greater economy and cleanliness, and the extent to which iuferior fuels can be utilized for its generation, there has been of late a rapidly increasing tendency to substitute gaseous for solid fuel for metallurgical and other industrial purposes, which has led to various improvements both in the process and apparatus for its manufacture, notably among which may IN mentioned the Tessie Gas Producer* described by Mr. A. L. Holley. A considerable experience by the author with producers of various kinds using anthracite fuel, in connection with the Taylor ore-roast ing furnace at Chester, N. J., with more or less unsatisfactory resnlts, finally led to the erection of the experimental producer described below, which combines in its construction, simplicity, dorability, and accessibility for cleaning and removing the ash and manipulating the fuel. It is adapted to the use of various kinds of fuel, and is capa ble of generating a steady and uniform supply of gas at a minimum cost. It has been in constant use day and night for about five months, and has given very satisfactory results. The producer, as shown in the accompanying sketch, consists of a cylindrieal furnace, preferably inclosed in an iron jacket or casing, having a bosh or inverted cone-shaped base as in a blast furnace. It is provided with a bell and hopper, the bell being hung to a forked lever, and having guide flanges to prevent it from swing ing, and an opening at its apex through which to insert a bar for manipulating the fuel, which when not in use is closed with a plug or stopper. Cleaning is effected through two small doors placed opposite each other at the hearth level, which in order to facilitate the operation is elevated above the floor. The doors are removable, and when closed are by their own weight and by means of bevelled lugs held tightly against their frames, forming a practically tight joint. The increasing emphasis upon the use of refractory metals has resulted in a closer look at some of the properties of these materials. In the course of a study of the Nb-N system it became necessary to re-examine one such property, the spectral emissivity, e. Experiments were performed in order to determine e for solid niobium as a function of both temperature and nitrogen content. The results of these experiments, which indicate a small but significant correction to the spectral emissivity of pure niobium, are reported herein. In addition, data on the total emissivity, et, of niobium and the spectral emissivity of the nitride Nb2N are given. To this author's knowledge, neither of these emissivities are as yet reported in the literature. Previous studies of the spectral emissivity of niobium have been few. In 1915, Burgess and Waltenburgl obtained a value of 0.49. Whitney? in 1935, used a Mendenhall V to obtain the commonly accepted value of 0.374. A recent investigation of sintering of niobium graphically reported a value of about 0.36= using a solid block of the metal with a blackbody hole drilled into it. Accurate and economic control of line and grade on long tunnels, large structures, excavations and waterways has been a problem to surveyors and engineers for decades. The conventional method of surveying, incorporating a level, transit and a number of surveying technicians, has proven to be a very expensive and time-consuming operation. Now, however, engineers have adapted the laser to help ease the problems of surveying, at the same time increasing the efficiency of such operations. The laser, which projects a continuous, narrow red beam of brilliant light, provides a constant alignment reference that does not interfere with personnel or equipment. A complete laser alignment system, specifically designed for and suited to a variety of mining and tunneling operations, has been developed by the Perkin-Elmer Corp. The engineering significance of this development can be fully realized when it is noted that, aside from potentially tremendous economic advantages in terms of labor savings, the laser beam provides a system of alignment that is at least ten times more accurate than presently used optical systems. The new laser system provides accuracies within 10 microinches per foot (1 x 10-5in.) when used with an accessory centering detector. In one of its first field trials, the laser was used for alignment of a two-mile tunnel which showed a total deviation of less than 5/8 in.

Large striation-free single crystals of bismuth have been grown from the melt by rapid freezing. Zone-refined bismuth, together with doping impurities if desired, is placed in a shallow flat-bottomed graphite boat and melted in air with a propane hand torch. The torch is then withdrawn in a manner which causes the melt to freeze direction-ally. Crystallization, which resuires only a few minutes, usually results in the formation of a single crystal even when a seed crystal is not used. Crys -tals of any desired orientation may be grown by using oriented seeds. Undoped crystals grown by this method have residual resistivity ratios greater than 200. THE growth of large single crystals of bismuth by either the Czochralski or horizontal zoning technique is not entirely satisfactory. Specifically, difficulties are encountered in producing single crystals of the required dimensions in all desired orientations, and striations caused by low-angle polysynthetic twins are frequently present in the crystals. In addition, both methods are time-consuming and require special apparatus of some complexity. A simpler method has now been developed for growing large striation-free bismuth single crystals of desired orientation in a short time. Fig. 1 shows a typical setup consisting of a rectangular graphite boat which contains zone-refined bismuth, a 1/8-in.-thick flat quartz plate which covers the entire inner bottom of the boat, and three additional quartz plates about 1/4 in. thick which are used to separate the bismuth from the graphite everywhere except at a small area at the left of the boat. The graphite boat is 1 in. high, and its sides and bottom are about 1/8 in. thick. The quartz plates should be smooth and clean. The graphite boat is heated from the right with a propane torch, as shown in Fig. 1, until the bismuth is completely melted. The melt has the shape of a triangle with a narrow neck at the apex farthest from the torch. The melt is frozen direc-tionally by gradually moving the torch toward the right, away from the boat. The bismuth in contact with the graphite, at the left end of the neck, freezes first. The freezing interface then moves down the neck into the main bulk of material, where it develops a convex shape ideal for the continuation of single-crystal growth. The interface continues to move through the melt until the entire bulk is solid. The entire procedure may be completed, in air, in a matter of minutes. The technique described almost always yields a single crystal whose basal plane is nearly perpendi,cular to the bottom of the graphite boat. In earlier experiments, in which the bottom of the melt was in direct contact with the graphite boat, single crystals were grown with basal planes parallel, perpendicular, or at some intermediate angle to the bottom of the boat. At times the orientation of the bulk of the material differed from the orientation of the material in the narrow neck. In these cases, a nucleation site initiated the growth of a differently oriented crystal, and the thermal conditions favored the new orientation over the initial one. The thermal conditions depend on a number of factors, including the heating technique, the placement, shape, and thickness of the quartz plates, the thickness of the walls and bottom of the graphite boat, and the quantity of bulk bismuth employed. All of these factors, plus the initial orientation and the presence and effectiveness of nucleation sites, will determine the orientation of the final large single-crystal slab. When a crystal of specific orientation is desired, an oriented section of a rapid-freeze crystal is shaped by spark cutting and grinding for use as a seed. To grow a doped crystal, the desired impurity is placed in the graphite boat together with the bismuth chunks and seed. Crystals doped with mercury, cadmium, lead, and selenium have been grown. The rate of freezing is so great that the distribution coefficient of any impurity approximates unity. On a gross scale, therefore, impurities should be more homogeneously distributed in rapid-freeze crystals than in Czochralski or zoned crystals. Because of the possibility of constitutional supercooling, however, it is quite possible that impurities are not homogeneously distributed on a microscopic scale in the rapid-freeze crystals. Generally the single crystal slabs which have been prepared are initially 5 to 7 mm thick. Thicker crystals may be obtained by using one of these slabs as a seed. INTRODUCTION Industrial minerals can have similar financing requirements to those needs of metaliferrous and coal mining projects. One of the outstanding differences is the understanding of the many different markets that these industrial minerals represent. There are in excess of 30 principal industrial minerals ranging in terms of annual production from the largest quantity such as sand and gravel, to possibly the smallest quantity of production of a legitimate industrial mineral which may be defined as industrial and rough gem diamond. (See Tables 1 and 2) Project finance techniques, analytical methods, and information requirements are covered elsewhere in this Chapter and Chapter 10. Some comments on equity finance aspects follow. EQUITY AMOUNT The amount of equity in a financing transaction provides a cushion to the lender in case the project runs into trouble. Generally speaking, the greater the amount of risk in a project, the more equity a lender will require. The amount of cash equity in a project financing transaction is between 25 and 40 percent. The amount of leverage (debt/equity) is negotiable based on such factors as the strength and extent of the sponsor's undertakings, of the project's economics, and the term of a strong sales contract. Naturally, a borrower seeks to obtain d loan with as little equity required as can be negotiated. Zero percent equity is usually associated with a take-or-pay contract (a hell-or-high- water unconditional commitment under which the purchaser must pay for the commodity as though it were shipped regardless of whether it is actually mined or shipped) with a financially strong corporate entity i.e., the parent company or an end user. As a take-or-pay contract is tantamount to a guarantee of payment, the banker views the credit basis of the loan as being other than the borrower's mining operation and therefore will analyze the creditworthiness of the institution purchasing the commodity on the basis of its corporate balance sheet. Do not confuse a take-or-pay contract with a take-if- tendered or take-and-pay contract. Another means in the United States of obtaining zero percent equity is the carved out production payment financing, typical of coal mine financing. This involves the sale, or conveyance, by the owner of the mineral property of a production payment to a nominally capitalized company. The nominally capitalized company is formed solely to buy the production payment and usually borrows 100 percent of the purchase price from a lender. Equity amounts of 10 to 20 percent generally are found in transactions which employ techniques such as an advance sale or a subordinated lease/loan. These agreements are viewed as quasi equity by most banks for several reasons. First, the proceeds represent a cash infusion early in the project's life - usually prior to the bank lending any funds. Thus, the repayment schedule is "behind" that of the bank debt. In the case of an advance sale, repayment is in the form of a long-term supply contract with favorable terms, usually priced close to the mining operation's costs. There is also usually a requirement that all costs of the project be paid for by the loan or equity, often making the sponsors financially responsible for any cost overruns. Cost overruns are a major risk in any project, large or small, and are often due to unforeseen factors such as wildcat strikes, a piece of faulty equipment, or any event which delays completion, e.g., remote location, weather, etc.. . The question of how overruns are covered can be negotiated. For example, in addition to the original debt/equity ratio of the project, there can also be a cost overrun ratio that will
