Coal preparation practice and trends follow, among other factors, production trends in any given area. Considering an area the size of a state, some broad predictions may be made after a review of the annual production records. As this paper is concerned with coal cleaning in Utah, data on its production record are pertinent. Table 1 shows the percentage relation of coal production in Utah to the national total as a single figure up to 1935 which includes all recorded production. From 1935 through 1947 these data are presented by years. It is evident from these data that the production of Utah coal is ascending. The reason for this trend is industrial growth in the West resulting in a population shift which accounts for more people than the normal increase would supply together with Utah's relatively fortunate geographical location and its abundance of good-quality coal. Utah is also hopeful of supplying more coal in the future for West Coast power generati0n.l

The term "operational research" was probably first used to describe work started under E. C. Williams, now Director, SHAPE Air Defense Technical Center, late in 1937 or 1938, at the Bawdsey Research Station of the British Air Ministry, a laboratory center concerned with the development of radar equipment. After the practicability of the early techniques had been demonstrated, a large (for those days) program of development and installation was authorized. It was very soon realized, both by the Royal Air Force and by the scientists that almost as important as the gear itself was the way in which it should be used. Accordingly, it was decided that some scientists should cooperate to study the way in which the equipment should be deployed and operated in conjunction with the Royal Air Force. To distinguish this work from the normal work of a research and development establishment, the term "operational research" was coined. It merely meant at this time that this particular section of scientists was to be concerned with the use of the gear rather than with its technical development and it seemed natural to those concerned to adopt the word "operations" which has a specific connotation in the armed forces.' This method was later extended to peacetime business enterprise, government operations and other human activities. Operations research appears to have penetrated the extractive industries more slowly and less completely than other industries, the military, or the government. This may be due (1) to a difference in the attitude of management towards operations research, or towards research of any kind, for that matter; (2) to unsuitability of the extractive industries for application of the operations research method; (3) to inaccessibility of the data; (4) or to a lack of trained personnel who are interested in applying operations research to the mineral industries.

The results are presented of a study of the application of analytical methods to the solution of two-phase flow into single wells. Approximate analytical expressions for the pressure distribution in two-phase flow are found ;;; a number of conditions. The results obtained from the analytical solutions me found to be in good agreement with results obtained by finite difference techniques using a high speed digital computer. Mathematical solutions for four sets of boundary conditions are presented. All of these solutions are composed of a short-term transient plus a steady or quasi-steady state. The rates of decay of the short-lived transients are analyzed. It is found that the durations of the short-term transients may be characterized by a parameter defined as the time constant which can be determined from simple relations. It is shown also that if the outer radius is much greater than the radius of the well. the short term transients decay at rates which are proportional to the square of the exterior radius, and the rates of decay are only slightly dependent upon the radius ratio. Numerical solutions based on finite difference techniques are presented for a number of conditions. The numerical solutions are in good agreement with the predictions based on the theoretical analysis for small and moderate drawdowns. Examples involving large drawdowns indicate that the nonlinearities in the equations of flow do not appreciably alter the longevity of the short-term transients. In all cases the time required for the short-tern transients to disappear is predicted satisfactorily. INTRODUCTION The mechanism by which oil and gas flow into a single well is of vital interest to the petroleum industry. The fundamental equations of two-phase flow which describe this mechanism are nonlinear partial differential equations. Numerical solutions of these equations describing pressure transients have been obtained with the aid of electronic computers. Although solutions obtained in this manner take into account a large number of effects, the reduction of this information to useful generalities is difficult. One method of obtaining generalities is the use of linearized approximations of the nonlinear equations. Since it is possible to obtain explicit solutions of the linearized equation, general properties of the role of pressure in the flow mechanism may be ascertained. Results obtained from this approach are limited to some extent by the linearizing assumptions. The severity of these limitations may be evaluated by comparing solutions of the linear equation with numerical solutions of the more exact nonlinear equations of two-phase flow. In the past considerable amount of work has been devoted to studying pressure build-up using the single-phase flow theory. Unfortunate1y, most prep sure build-up tests involve multiphase flow. A small amount of work has been done studying pressure build-up where the flow is two-phase. The encouraging results of these studies suggest that useful results may be found from additional studies of not only pressure build-up, but also the rapid transients associated with placing a well on production. This paper presents the basic theory of the pressure transients associated with placing a well on production and with closing it in. The paper is concerned chiefly with two-phase compressible flow; however, the results also apply to single-phase flow. The results are based on analytical solutions of the flow equations, and they are verified by numerical solutions using finite difference techniques. Much of the previous work on compressible flow into wells has been confined to single-phase flow. Some work has been done on compressible two-phase steady state flow, and solutions of the equations of flow have been found by finite difference techniques using high-speed computers. Muskat1 presents some rather general solutions to the equations of single-phase compressible flow into wells. Much work has been done on pressure build-up in wells (see, for example, Refs. 2-6). Almost all of the work on pressure build-up concerns single-phase flow with the exception of Ref. 5 and part of Ref. 2. Some work has been done on pressure fall-off in injection wells.718 Muskat9 presents the solution of the equations for radial steady state two-phase compressible flow. Retaining third place in crude-oil production among the nation's oil-producing states, Oklahoma's output in 1942 totaled 137,792,000 bbl., a decline of 9.4 per cent from the previous year's total of 152,117,000 bbl. Production declined from an average of 403,000 bbl. daily in January 1942 to an average of 355,000 bbl. during December, a reduction of 48,000 bbl. daily (11.9 per cent) during the year. At the end of 1942 it would appear inevitable that the downward trend in production will continue in 1953 unless halted in the immediate future by greater than normal discoveries and development. To Jan. I, 1943, Oklahoma has produced 5,067,013,000 bbl. oil crude oil. Development and Exploration Development dropped abruptly in 1942, reflecting the lack of any sizable discoveries and the effect of the provisions of Federal Well Spacing Order M-68, which became effective in December 1941. In all, 1210 wells were drilled in 1942. This represents a decrease of 42.7 per cent from the 1941 total of 2110. Of the total wells completed, 553 (45.7 per cent) were oil wells with an average initial production of 443 bbl.; 102 (8.4 per cent) were gas wells with an average initial of 3,359,000 cu. ft.; and 555 (45.9 per cent) were dry. Although the number of completions declined sharply, the total of 320 wildcats completed (26.4 per cent of all wells) repre-sents a decrease of only 2.7 per cent from the previous year's figure of 329. Of the wildcats drilled, 44 (13.8 per cent) were oil wells, 13 (4.0 per cent) were gas wells, and 263 (82.2 per cent) were recorded as failures. Reconditioning of wells throughout the state resulted in a total recompletion of 355 wells. Of these, 234 were oil wells with a combined initial production of 96,808 bbl., 32 were gas wells with a total initial of 381,488,000 cu. ft., and 89 were abandoned. None of the 26 pools found in 1942 has developed into a major discovery. The Pauls Valley pool, Garvin County, is the most outstanding. Since its discovery in April, 14 wells with an average initial of 1898 bbl. have produced 803,000 bbl. of 42' gravity oil from the Bromide zone. Development in this pool is believed to be almost completed. Other of the more important discoveries are the East Watchorn pool, Pawnee County; Guthrie Townsite and West Navina, Logan County; Brooksville and Macomb, Pottawatomie County, and the Liberty and Northeast Lucien discoveries in Noble county. The East Watchorn pool, at the close of the year, had 14 completed oil wells with an average initial of 989 bbl. from the Wilcox sand at 3930 it.; Guthrie Townsite, one well with an initial of 840 bbl. from dolomite at 5600 It.; West Navina, six wells with an average initial of 284 bbl. in the Lay ton sand at 5050 ft., Brooksville, eight wells in the Hunton at 4800 ft. with an average initial 01 355 bbl.; Macomb, one well with an initial of 160 bbl. in the IIunton at 4700 ft.; the Liberty pool, one well with an initial of 1268 bbl. in the second Wilcox at 4500 ft., and two wells in the Tonkawa sand at 2500 ft., with an average initial of 230 bbl. In the Northeast Lucien pool, four wells were completed in the Wilcox at 5380 ft. for an average initial of 1164 bbl., and one well was completed in the Viola lime at 5255 ft. for an initial of 55 barrels.

The effect of impurities on the flowsheet in the smelting and refining circuits for copper, lead and zinc is reviewed and the interflow of by-poduct metals from copper, lead and zinc plants is pointed out. The principal points of separation of all impurities in the circuits are indicated and the additional steps added to these circuits in order to effect impurity separation me shown. In this day and age, when difficult metallurgy is mentioned, one thinks of the extraction of more refractory or possibly the alkaline earth or rare-earth metals. It is true that the extraction of metals having a high affinity for oxygen and deleterious solubility for that element in the liquid metal, affords some of the most difficult extractive metallurgy problems. When this is coupled with an affinity for hydrogen, nitrogen, and carbon a devious approach is required that sometimes rivals the complexity of the metallurgy with which this paper deals. The ancient city of Guanajuato, the capital of the State of that name, has been built up and sustained chiefly by the milling industry based upon the veins of the Veta Madre and La Luz. It is distant about twelve hours, by rail, from the City of Mexico. Its elevation above the sea is about 6300 ft., and it has a salubrious climate. The population, at the date of my visit in 1891, was estimated at from 80,000 to 100,000 persons. The place is justly celebrated for the antiquity, depth and extent of the mines, the magnitude of the deep shafts, and the enormous total yield of the district in silver and gold, which is comparable with that of the Comstock Lode in the United States. Several important public institutions are located at this center. The State office for the records of claims and of the statistics of mining and production is known as the Deputacion de Mineria. The Mining College, with its fine collection of ores and minerals from the mines of the region, is highly interesting to mineralogists. A mint for the coinage of silver, but not of gold, coins from four to twelve millions of' silver dollars annually. The silver received at the mint is melted in an open-hearth furnace, and is ladled out and cast into long and thin bars, which are rolled down to the proper thickness for the blanks. The bars contain some gold which is not parted. There is an export of dore bars to Germany, amounting in value to from $1,000,000 to $1,500,000 annually. There were, in 1891, upwards of forty reduction-works in and about the city where the silver ores were treated, chiefly by the ancient patio method. In these works were 65 Chilean mills, 301 arrastres of large size, and 936 of smaller dimensions. There were 36 steam engines, but mule-power was generally used at the ar-

INTRODUCTION Landowners in Texas for many years have freely granted, reserved and leased "oil, gas and other minerals" or interests therein. In recent years we have witnessed much litigation concerning what sub- stances should be included as "other minerals" within the phrase "oil, gas and other minerals," and this question has received the attention of numerous legal scholars. At the South Texas Uranium Seminar held in Corpus Christi, Texas, in September, 1978, Mr. William R. Dodson presented a paper dealing with this very subject and entitled "Uranium - Mineral or Surface? Who Owns It?" In his paper, Mr. Dodson reported on two recent Texas Supreme Court decisions, Acker v. a, 464 S.W.2d 348 (Tex. 1971) and Reed v. Wylie, 554 S.W.2d 169 (Tex. 1977). which held that the particular substance in question in each case is not a mineral within the phrase "oil, gas and other minerals" if substantial quantities of the substance lie so near the surface that production will entail the stripping away and substantial destruction of the surface. Since that time another chapter has been written in the Texas saga of "When is a Mineral not a Mineral?" and it is the intent of this paper to present an update of the Texas law. A review of the early Texas cases so ably covered by Mr. Dodson in his paper will not be repeated, except as is necessary to illustrate the evolution of the legal doc- trine which has been so aptly named "The Surface Destruction Test". BACKGROUND In order to appreciate the genesis of the problem, one must consider that oil and gas production commenced in Texas many years ago, Spindletop came in in 1901. As oil and gas became more valuable, land- owners with considerable frequency sold interest in the oil, gas and mineral estates in their lands, and reserved interest in the oil, gas and mineral estates in their lands when they disposed of their property. Due to the oil and gas background, and perhaps be- cause oil and gas was paramount in the minds of the parties, the traditional language employed in these grants and reservations was "oil, gas and other minerals" or variations thereof. There are literally hundreds of instruments employing this language constituting a link in the chains of title to thous- ands of acres of Texas land. In addition, there are thousands of acres of Texas land held by oil, gas and mineral leases, the primary terms of which have been perpetuated by production, containing similar language in their granting clauses. The severance of the mineral estate from the surface estate results in two separate and distinct estates, each having all of the incidents and attributes of an estate in land. with the surface estate being the serviant estate, and the mineral estate being the dominant estate and having certain easements in the surface estate to explore. produce and remove the minerals. Harris v. Currie. 176 S.W.2d 302, 305 (Tex. 1943). As observed by the court in the Harris case, this is because a grant or reservation of minerals would be wholly worthless if the grantee or reservor co~lld rwt enter upon the land in order to explore for and extract the minerals granted or reserved. Although the Texas law has recognized that an oil and gas lessee has the right to use so much of the surface as is reasonably necessary to produce the minerals. Warren Petroleum Corporation v. Monzingo, 304 S.W.2d 362, 363 (Tex. 1957), recent decisions of the Court have qualified this doctrine. In Getty Oil Company v. Jones. 470 S.W.2d 618 (Tex. 1971). Getty's pumpine, units were interfering with ones self-propelled sprinkler system utilized for irrigating the premises, and Jones sought to require Getty to install the-pumping units in cellars so that the sprinkler system could pass over them. In an effort to accommodate both the surface estate and the mineral estate, the court held (page 622) "...where there is an existing use by the surface owner which would otherwise be precluded or impaired, and where under the established practices in the industry there are alternatives available to the lessee whereby the minerals can be recovered, the rules of reasonable usage of the surface may require the adoption of an alternative by the lessee". Bearing in mind that the "reasonable use doctrine" grew up in the oil and gas industry involving sub- stances which can be produced by methods that do not destroy or deplete the surface estate, the question presented is whether the Texas courts will extend this doctrine to situations where claimants of "other minerals" seek to produce shallow deposits of iron ore, coal, lignite and uranium by surface mining methods which do destroy or deplete the surface estate? The surface destruction test has answered this question in the negative, at least as to iron. coal and lignite. However, the multitude of mineral estates in Texas which have been created by a grant. reservation or lease of "oil, gas and other minerals" will, doubtlessly, continue to fuel the fires of litigation. THE IRON HUNTER. By Chase S. Osborn, pp. 316, Ills. 10. The MacMillan Company, New York. 1919. An autobiography, the story of a Hoosier boy who fought his way to manhood and power through early misfortune and poverty, from street urchin and newsboy, to editor and author; from lumberjack and dock walloper to statesman and Governor of Michigan. The reader has the measure of the man in the first chapter, a dramatic recital of how the fighting boy editor cleaned up a lawless mining camp of 40 years ago. The thread of the narrative is the author's life-long devotion to outdoor living, ex-ploration and travel. Residing in Sault de Sainte Marie, Mich., in the heart of the Lake Superior country, he took his delight and, incidentally, found his fortune in prospecting the north woods for iron ore; eventually, extending his travels to the continents and many of the islands of the world, he discovered what, he believes-to be a great iron range in Madagascar. In this book there is plenty of anecdote, a great deal of wholesome social and po¬litical philosophy and some interesting sidelights on the characters of some of the author's prominent contemporaries in the political life of Michigan. The style is direct and animated, flavored and illuminated with the vernacular of Hoosierdom and the woods country of the North. The author levies on the vocabulary of the sciences and the classics for many a noun and adjective and, with Rooseveltian license, now and then coins a word. The reader's interest will be gripped from cover to cover, albeit he may occasionally need a dictionary. R. C. A.

This paper outlines the trends in gold production since the discovery of America, in the world as a whole, and in the principal producing regions as well. World production climbed at an average rate of about 20,000,000 oz. per 5-year period until the record all-time output of 111,307,000 oz. in the period ending with 1915. Production fell off during the war period, but has been mounting since 1925, and will probably be nearly 100,000,000 oz. for the 5-year period ending in 1930. Total world production of gold from 1492 to the end of 1930, as closely as can be determined, is more than 1,061,000,000 fine ounces. More than one-half of this total, or about 575,000,000 oz., has been mined since 1900. In percentage of world production, the United States jumped from 4.8 per cent for the decade 1831-1840 to 44.5 per cent for the five years ending with 1855. This is the highest figure ever reached by this country, although, with the exception of the 10-year period ending 1865, it ranked first among the nationa from 1849 until the end of 1905. During the 5-year period ending with that year, the United States produced 24.7 per cent of the world's gold. The tremendous increase from South Africa following 1890 resulted in that country's becoming the largest contributor for the five years 1906-1910, a position it has held with increasing dominance ever since. Relegated to second place in the period 1906 to 1910, the United States produced nearly 20 per cent of the world's new gold until 1920. From 1921 to 1925 it averaged 13.6 per cent and since then it has continued to decline in relative importance, accounting for only 10.9 per cent in 1927. Final figures for 1930 may place Canada second among the gold producers of the world.

The chloridizing mill of the Standard Reduction Co. is located about 75 miles south of Salt Lake City on the Tintic branch of the Denver & Rio Grande Western R. R. and 12 miles from the Tintic Standard mine. The daily capacity is 200 toss of a siliceous, low-grade, silver-lead ore from this property. It has operated continuously since it was started in January, 1921. The process consists essentially of a chloridizing roast followed by a percolating leach with a nearly saturated solution of common salt, acidified with sulfuric acid, the precipitation of silver on sponge copper and of copper and lead on tin-plate cuttings. The precipitates are shipped to a smelter. Some of the general ideas involved are said to have been used by Augustin in England, in 1840. A number of textbooks treat of the subject, especially the chloridizing roast followed by a leach with sodium hyposulfite or amalgamation. The process was revived in this district by Theo. P. Holt, N. C. Christensen, the Bureau of Mines, and others. IN the investigation of metallurgical transformations and the relationships between microstructure and properties of metals, it frequently is desirable to obtain a measurement of the relative amounts of the various phases present and of the mean size of particles into which each phase is dispersed. The relative amounts of the phases can be measured by the classical methods of area, lineal, and point analysis,1-5 in accordance with the principle that the volume fraction of a phase, the fraction of a polished cross section occupied by the phase, the fraction of a random line occupied by the phase, and the fraction of randomly arrayed points occupied by the phase are all equal. The validity of this relationship depends only on the attainment of a truly random sample of area, length, or points, and not on the size, shape, or distribution of the particles constituting the phase. Smith and Guttman8 have derived a relationship between the interface area per unit volume S, and the measurable quantities L., the interface length per unit area on a cross section, and NL, the number of interfaces per unit length intersected by a random line. Their equation, Sv = — L8 = 2NL is also valid regardless of the distribution of particle sizes and shapes. In contrast to the situation concerning measurement of relative fractions of phases and of interface area, the measurement of particle sizes in opaque samples has not been subjected to a complete analysis. It has been common to measure some lineal or area dimension of particles on a polished cross section and to use the mean value as a qualitative measure of particle size. In the present paper, quantitative relationships are established among the various mean dimensions on a polished cross section and the actual dimensions of the particles present. Particles of Uniform Size Spheres: If a metal sample contains particles of a phase a dispersed in the form of spheres of uniform size, a polished cross section through the sample will reveal circular areas of phase a with radii from 0 to ?, the radius of the spheres. Consider a cube of unit dimensions to be cut from the sample. If a cross section parallel to one of the cube faces is examined, the average number of particles per unit area (N,) equals the number of particles per unit volume (Nv) times the probability p1 that the plane would intersect a single sphere positioned at random within the unit cube. Since, of the various possible positions for the cross-sectional plane over the unit length from top to bottom of the cube, only those positions existing over the length 2r would lead to the plane intersecting the sphere, the probability of intersecting a single sphere is just 2r. If a randomly oriented unit cube is cut from the sample and a randomly positioned line is passed through the cube parallel to a cube edge, the number of spheres intersected by the line (Nl) equals the number of spheres per unit volume times the probability p1 of the line hitting a single randomly placed sphere in the cube. Since possible positions of the line occupy unit area, and possible positions for which it will pass through the sphere occupy an area of pr2, the probability of the line hitting a randomly placed single sphere is pr2. THERE are three objectives in translation of works of this character : to give a faithful, literal translation of the author's statements ; to give these in a manner which will interest the reader ; and to preserve, so far as is possible, the style of the original text. The task has been doubly difficult in this work because, in using Latin, the author availed himself of a medium which had ceased to expand a thousand years before his subject had in many particulars come into being ; in consequence he was in difficulties with a large number of ideas for which there were no corresponding words in the vocabulary at his command, and instead of adopting into the text his native German terms, he coined several hundred Latin expressions to answer his needs. It is upon this rock that most former attempts at translation have been wrecked. Except for a very small number, we believe we have been able to discover the intended meaning of such expressions from a study of the context, assisted by a very incomplete glossary prepared by the author himself, and by an exhaustive investigation into the literature of these subjects during the sixteenth and seventeenth centuries. That discovery in this particular has been only gradual and obtained after much labour, may be indicated by the fact that the entire text has been re-typewritten three times since the original, and some parts more often ; and further, that the printer's proof has been thrice revised. We have found some English equivalent, more or less satisfactory, for practically all such terms, except those of weights, the varieties of veins, and a few minerals. In the matter of weights we have introduced the original Latin, because it is impossible to give true equivalents and avoid the fractions of reduction ; and further, as explained in the Appendix on Weights it is impossible to say in many cases what scale the Author had in mind. The English nomenclature to be adopted has given great difficulty, for various reasons ; among them, that many methods and processes described have never been practised in English-speaking mining communities, and so had no representatives in our vocabulary, and we considered the introduction of German terms undesirable ; other methods and processes have become obsolete and their descriptive terms with them, yet we wished to avoid the introduction of obsolete or unusual English ; but of the greatest importance of all has been the necessity to avoid rigorously such modern technical terms as would imply a greater scientific understanding than the period possessed. Otis, Chairman of the Local Committee of Arrangements, who welcomed the Institute to Cleveland, and introduced Col. Charles Whittlesey, who ad¬dressed the Institute briefly on the coal deposits of Ohio. Col. Whittlesey described the situation and character of the coal-beds of the State, and gave a short history of the use of raw coal in the manufacture of pig-iron, and spoke of the excellent quality of metal produced. The aid that a body of scientific miners and metal¬lurgists were capable of giving in the development of coal and other mineral resources was dwelt upon, and the hope expressed that the visit of the Institute to Cleveland might be profitable as, well to its members as to the citizens of the State. The President, Mr. A. L. Holley, responded to the welcome of Mr. Otis and of Col. Whittlesey, and read an introductory address on Some Pressing Needs in the Iron and Steel Manufacture. IT is now generally conceded that coal is the product of deposition and transformation of debris of forests and swamps.29 Ample data are available to illustrate the metamorphosis of biochemical substances through biological action; other data show the progressive regional metamorphism existing in coal beds;25 and numerous examples of change effected by intrusion of igneous dikes into coal deposits have been established .R3 However, often the relative importance of the biological and the geological factor in determining the character of the various natural coals is a debatable question. Since both biological and geological factors are ever present in nature, the problem, at first glance, would appear to resemble certain probability problems: specifically the simultaneous toss of two coins, with the biological factor as heads and the geological as tails. The probability is 2:I for the combined effect of both factors, as compared to the exclusive effect of either one, if the a priori probability is the same for each factor. This condition can be analyzed by a thermodynamic treatment of data, which may be obtained from a consideration of pertinent biological, chemical, geophysical and geological facts. SYNOPSIS OF BIOLOGICAL AND CHEMICAL FACTS The biosphere is not sterile; i.e., microorganisms are always present. Microorganisms have been established in the ocean deep, under the ice of the polar regions, in the sand of the deserts, and in swamps far below the surface. The various biological media may be acid, neutral, or alkaline, and they may or may not be readily accessible to air. Microorganisms are encountered almost everywhere, except where the temperature is not within the range tolerable by microbial life. Of course, with changing conditions, the type of microorganisms will change. All chemical products of life-proteins, fats, carbohydrates, lignins, waxes, resinsmay serve as a habitat of microorganisms. In the decomposition of a medium, some microorganisms macerate organic matter mechanically and remove certain constituents for their own nutrition; others decompose a large part of the organic matter but may leave certain constituents undecomposed. Some attack only certain specific ingredients of the organic matter. All of them build up cell substance. The nitrogen content of the medium largely determines the degree of decomposition. Below 1.7 per cent nitrogen, growth of microorganisms and hence decomposition of organic material is retarded; consequently organic material will accumulate.17,32 Such accumulations of organic material may give coal eventually. Coals differ in type and rank. The nature of the original vegetation and the conditions attending the transformation of the accumulated debris determine the type of coal such as bright, splint, cannel, and algal or boghead coals. The Lucky Friday mine east of Mullan, Idaho, is an outstanding example of a property in the Coeur d’Alene district where a small and insignificant- appearing silver-lead-zinc vein at the surface has changed at depth into a large vein of great importance. The Lucky Friday vein has little if any surface expression and above the 1200 level the ore shoots are small and discontinuous. Between the 1200 level and 2450 level, the lowest developed level, the main ore shoot has shown remarkable improvement on each succeeding lower level, and today the mine is one of the major lead-silver producers in the Coeur d'Alene district. History: The Lucky Friday property is on the north side of the South Fork of the Coeur d'Alene River in sections 25, 26 and 35, T. 48 N., R. 5 E., Hunter mining district, Shoshone County, Idaho. This is about one mile east of the town of Mullan, which serves the eastern portion of the Coeur d'Alene district. The southern part of the property is crossed by a branch line of the Northern Pacific Ry. and by U. S. Highway 10. This highway is the principal road crossing the panhandle of Idaho and connects the district with Spokane, Wash., on the west and Missoula, Mont., on the east. The main portal and surface plant of the Lucky Friday mine is at an elevation of 3365 ft, only a short distance above the valley floor and a few hundred feet from U. S. Highway 10, so the mine is readily accessible for year-round operation.

INTRODUCTION This paper analyses certain of the financial considerations which will commonly apply in relation to the following questions: - what equity structure or project vehicle should be adopted for the exploration and/or exploitation of a project by more than one unrelated participant? - what vehicle should be adopted by a participant for its participation in a multiparty project? Due to local, politically motivated laws in certain jurisdictions, or due to the overriding requirements of a dominant participant, there may be little choice of the underlying multiparty structure which may be adopted for the exploration, appraisal and/or development phases of a project. Nevertheless, even in such circumstances, attention should be given, at least in the preparation of the related documentation, or in considering methods of participating or funding the project, to certain of the points discussed below. This discussion of financial considerations in the context of the more commonly adopted multiparty structures concentrates primarily on fiscal, financial accounting, financing and funding aspects. TYPES OF PROJECT VEHICLE FOR MULTIPARTY INTERESTS The well known types of vehicle adopted for the participation in a project by more than one participant (assuming that the participants are effectively unrelated) are as follows. Joint Venture (unincorporated joint venture) By far the most commonly adopted structure for mining ventures, a joint venture is usually defined and documented in terms to distinguish it from a partnership for important tax and legal reasons. In essence, this is a contractual association of more than one participant to carry out a specific commercial project or purpose. The relationship between the separate participants and their respective rights, interests, obligations and liabilities are agreed between the participants in one or more contracts (viz Joint Venture Agreements or Joint Operating Agreements together with ancillary documentation). Unlike other project vehicles of participation, in most jurisdictions there is no specific body of law governing joint ventures. The participants thus enjoy contractual freedom to negotiate whatever deal they may wish between themselves. Jointly-Owned Project Company (corporate joint venture) A very familiar vehicle, this is a separate and distinct legal and tax entity incorporated under the company laws of the place of incorporation to undertake specific objects, and granted specific powers, in relation to the Project. Although certain rights, interests and obligations may be circumscribed in the governing corporate instruments by the promoter participants, the corporation laws of the relevant place of incorporation, and the selection of such governing laws (assuming freedom of choice) and future political changes in such corporate laws, should be carefully considered. The use of a company in a multiparty structure may be peripheral to the project itself as a specific purpose vehicle (for example, a joint sales agent or marketing company or a joint borrowing vehicle) or it may form a central function such as in the case of a tolling company which will own the project for legal and taxation purposes and raise financing with the backing of the shareholder participants commonly by the adoption of take-off, throughput and/or user agreements. Partnership This is a legal relationship, subject to the often wide-sweeping restrictions of the relevant local partnership laws, under which the participants have agreed to carry on a business venture together with a view to profit. We have been conducting a, very extensive investigation of the quality of charcoal-iron and of all iron, and we have found that this eutectic point here (indicating on chart) is a sort of balance point between the good irons and the bad ones, and I have some slides to show what practical results we have found depending on this point here on the d diagram; and it would be a mistake for men who were -concerned with operation and were getting practical results, to think that these things are of no importance. They are exceedingly hard to understand, and I confess that a great deal of them is beyond me, but there is no doubt that the quality of iron depends to an enormous extent on the location of the carbon content of the iron to the right and left of this point, and the position of that point is dependent upon the silicon, and I wish to make a plea to the practical and operating members of the Institute not to disregard this material on account of its being highly scientific, because I hope to show later that there are matters of the highest practical importance that depend directly upon certain portions of this diagram. TOP-SLICING was introduced in the Pachuca district in 1917 by T. C. Baker, at that time mine superintendent, of the Santa Gertrudis mine. There then existed 1200 ft. (365.7 m.) below the surface, lying between the fourteenth and eighteenth levels (a vertical distance of 108 meters) a block of ore having a length of 295 ft. (90 m.), and an average width of 82 ft. (25 m.) and dipping at an angle of 65°. This block lay in the hanging wall of the vein and consisted of highly altered and fractured andesite, cut through with mineralized quartz stringers. On the foot-wall side, 26 ft. (8 m.) of old filling, left by former operators, was of payable grade. Stoping therein was first undertaken by the square-set filling system, but because of the extremely heavy hanging wall and loose dry filling in the foot wall, all square setting had to be accompanied by spiling, which made the operation exceedingly slow and costly. A system of mining was sought that would eliminate the difficulties inherent to the square-set system in heavy ground and that at the same time would effect the desired economies in mining. After several years, top-slicing has met all the conditions most satisfactorily, so that when similar conditions presented themselves in El Bordo mine, this method was adopted with necessary modifications. El Bordo mine is operated by the Santa Gertrudis company, and is situated about two miles north of Pachuca. Because of the diversity of the orebodies, a number of different mining methods are in use, among them top-slicing.
